Examples of Early Redemption Event Determination Date in a sentence
For the avoidance of doubt, if: (i) an Event of Default occurs and the Notes are declared due and payable in accordance with Condition 10 at any time prior to the Scheduled Maturity Date; or (ii) an Early Redemption Event Determination Date occurs at any time on or after the Issue Date up to and including the Latest Determination Time, the Notes will be redeemed at their Early Redemption Amount on the Early Redemption Date in accordance with paragraph 30.
For the purpose hereof: Breakage Cost Valuation Date means the date on which the Early Redemption Amount is determined or announced by the Calculation Agent, which is expected to be within 30 Business Days of the Early Redemption Event Determination Date, to the extent reasonably practicable.
Early Redemption Event Determination Date means (i) a date on which the Trustee declares the Notes due and repayable in accordance with Condition 10 or (ii) the date on which an Early Redemption Event Notice is delivered by the Calculation Agent (on behalf of the Issuer) to the Notice Agent and, as long as the Notes are in global form, to the Clearing System.
Interest shall cease to accrue on the Notes from and including the Interest Period Date immediately preceding the Early Redemption Event Determination Date (or the Interest Commencement Date in the case where such event has occurred prior to the initial Interest Period Date).
The Company shall (1) deliver the Specified Amount of the Securities to the Counterparty in accordance with the Credit Default Swap Transaction, and (2) pay to the Noteholders an amount in USD equal to the Early Redemption Amount (as defined in paragraph 21 above) on or before the tenth Relevant Business Day following the Early Redemption Event Determination Date (the “ Early Redemption Date”).
If no record date is fixed as ------------------------- provided in Section 7.6, then the record date for any determination of shareholders that may be proper or required by law shall be, as appropriate, the date on which notice of a shareholders' meeting is mailed, the date on which the Board of Directors adopts a resolution declaring a dividend or authorizing a distribution, or the date on which any other action is taken that requires a determination of shareholders.
Interest shall cease to accrue on the Notes from (and including) the Interest Period Date immediately preceding the Early Redemption Event Determination Date (or, if the relevant Early Redemption Event Determination Date occurred prior to the initial Interest Period Date, the Interest Commencement Date).
If the Calculation Agent, in its sole and absolute discretion, determines that an Early Redemption Event has occurred, then on or before the fifth Relevant Business Day thereafter, the Calculation Agent shall notify the Company, the Counterparty, the Trustee, the Custodian, the Principal Paying Agent and the Noteholders in accordance with Condition 13 of such determination (the date of notification of such determination being the " Early Redemption Event Determination Date").
For the avoidance of doubt, if a Credit Event Notice Date occurs on or after the occurrence of an Early Redemption Event Determination Date but before the Early Redemption Date, the Notes shall not be redeemed pursuant to this Condition 7(q) and instead shall be redeemed pursuant to Condition 7(r).
For the purposes hereof, each Note’s pro rata share of the Unwind Value shall be determined by reference to the outstanding nominal amount of such Note as a proportion of the aggregate of the outstanding nominal amount of all Notes outstanding as at the Early Redemption Event Determination Date.
