Early Termination Price definition

Early Termination Price means the outstanding principal amount of the Certificates subject to Early Termination plus accrued interest to the Early Termination Date.
Early Termination Price means, for the applicable Contract Year, either (i) the amount listed on Exhibit D, attached hereto or (ii) the Fair Market Value of the System on an installed and running, or going-concern basis, as determined in accordance with Section 7.2.3, whichever amount is greater.

  • Concurrently upon closing of such Major Transaction, the Company shall pay or shall instruct the escrow agent to pay the Major Transaction Warrant Early Termination Price and/or to deliver the applicable Exercise Shares to the Holder.

  • Notwithstanding anything to the contrary in this Section 5, until the Major Transaction Warrant Early Termination Price is paid in full, this Warrant may be exercised, in whole or in part, by the Holder into shares of Common Stock, or in the event the Exercise Date is after the consummation of the Major Transaction, shares of publicly traded common stock (or their equivalent) of the Successor Entity pursuant to Section 5(c).

  • Notwithstanding anything to the contrary in this Section 5, until the Major Transaction Warrant Early Termination Price is paid in full, this Warrant may be exercised, in whole or in part, by the Holder into ADSs or Restricted ADSs, as applicable, or in the event the Exercise Date is after the consummation of the Major Transaction, shares of publicly traded common stock or American Depositary Shares (or their equivalent) of the Successor Entity pursuant to Section 5(c).

  • The Company has failed to (1) place the Major Transaction Warrant Early Termination Price or the Exercise Shares issuable upon exercise of a Cashless Major Exercise, as the case may be, into escrow or (2) obtain the written agreement of the Successor Entity as described in Section 5(c)(iii) or the Company has failed to instruct the escrow agent to release such amount or such shares, as the case may be, to the Holder pursuant to Section 5(c)(iii).

  • Notwithstanding anything to the contrary in this Section 3, until the Major Transaction Note Early Termination Price is paid in full (excluding any amount subject to escrows or holdbacks and any other contingent consideration that has not accrued), this Note may be converted, in whole or in part, by the Holder into Shares, or in the event the Conversion Date is after the consummation of a Major Transaction, Successor Conversion Shares pursuant to this Section 3.

  • Notwithstanding anything to the contrary in this Section 5, until the Major Transaction Warrant Early Termination Price is paid in full, this Warrant may be exercised, in whole or in part, by the Holder.

  • Concurrently upon closing of such Major Transaction, the Company shall pay or shall instruct the escrow agent to pay the Major Transaction Warrant Early Termination Price.

  • The Fundamental Transaction Early Termination Notice shall indicate the portion (which may be all of this Warrant) of this Warrant with respect to which the Holder is electing to receive the Fundamental Transaction Warrant Early Termination Price.

More Definitions of Early Termination Price

Early Termination Price means, for the applicable Contract Year, either (i) the amount listed on Exhibit D, attached hereto or (ii) the Fair Matket Value of the System on an installed and running, or going-concern basis, as determined in accordance with Section 7.1, whichever amount is greater.
Early Termination Price means the 10b-18 VWAP Price for any applicable Scheduled Trading Day, or average thereof, during the applicable period over which the Payment Obligation is determined (as determined by Goldman in its commercially reasonable discretion) and notified by the Calculation Agent to Counterparty at the time of notification of the Payment Obligation; provided that, for the avoidance of doubt, if the provisions under Section 9(c) below apply, the Early Termination Share Price will take into account the relevant Share price input as determined under such Section 9(c) below.

Related to Early Termination Price

  • Early Termination Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, these Conditions or the relevant Final Terms;

  • Early Termination Rate means the lesser of (i) 6.5% per annum, compounded annually, and (ii) LIBOR plus 100 basis points.

  • Early Termination Date means the date determined in accordance with Section 6(a) or 6(b)(iv).

  • Early Termination Payment is defined in Section 4.3(b) of this Agreement.

  • Early Termination Charge means, with respect to any 2019-B Lease that is terminated prior to its Maturity Date, an amount equal to the lesser of (a) the present value (discounted at the implicit rate of such 2019-B Lease) of all remaining Monthly Payments and (b) the excess, if any, of the adjusted 2019-B Lease balance over the related 2019-B Vehicle’s fair market wholesale value in accordance with accepted practices in the automobile industry (or by written agreement between the Servicer, on behalf of the Titling Trust, and the Lessee).

  • Early Termination Notice Date Any date as of which the aggregate Stated Principal Balance of the Mortgage Loans (including REO Mortgage Loans) is less than 1.0% of the sum of the aggregate Cut-Off Date Balance of the Mortgage Pool initially included in the Trust Fund.
