Earned Benefits definition

Earned Benefits means any (A) bonus that is payable to Executive under the IC Plan with respect to the calendar year preceding the Termination Year but that has not been paid prior to the Termination Date, (B) vacation time that has accrued as of the Termination Date, and (C) other entitlements to cash payments that have accrued as of the Termination Date.
Earned Benefits means, with respect to a Conversion or with respect to any termination during the Initial Employment Term, any (x) bonus that is payable to Executive under the IC Plan with respect to the calendar year preceding the year in which the Conversion Date or the Employment Termination Date occurs but that has not been paid prior to the Conversion Date or the Employment Termination Date, (y) vacation time that has accrued as of the Conversion Date or the Employment Termination Date, and (z) other entitlements to cash payments that have accrued as of the Conversion Date or the Employment Termination Date.
Earned Benefits means any (A) bonus that is payable to Executive pursuant to the terms of the 2008 Incentive Compensation Plan that has not been paid prior to the Termination Date, (B) vacation time that has accrued prior to 2009 and has not been used or paid as of the Termination Date, (C) other entitlements to cash payments that have accrued and not been paid as of the Termination Date, and (D) deferred compensation earned by Executive prior to termination. Notwithstanding other provisions of this Agreement regarding the timing of payment of Earned Benefits, (x) the 2008 Incentive Compensation Plan bonus will not be paid until the completion of the Company’s audited consolidated financial statements for 2008, and (y) deferred compensation will be paid as provided in the Company’s deferred compensation plan.

Examples of Earned Benefits in a sentence

  • Within ten days after the Termination Date, Executive shall receive payment for all accrued salary through the Termination Date and the Earned Benefits.

  • If Executive’s employment is terminated for Cause, Executive shall receive payment for all accrued salary through the Termination Date (which in this event shall be the date upon which notice of termination is given) and the Earned Benefits.

  • Within ten days after the Termination Date, Executive shall receive payment for all accrued salary through the Termination Date and the Earned Benefits, after which no further compensation of any kind or severance payment will be payable under this Agreement.

  • Within ten days after the Termination Date, which in this event shall be the date upon which notice of termination is given, Executive shall receive payment for all accrued salary through the Termination Date and the Earned Benefits, after which no further compensation will be payable under this Agreement.

  • Within ten business days after the Termination Date, Executive shall receive payment for all accrued salary through the Termination Date and the Earned Benefits.

  • As a condition to receiving the payments and benefits provided by this Section 5(d) (other than payment for all accrued salary through the Termination Date and the Earned Benefits, which shall be payable in any case), Executive shall execute and deliver to the Company, within 21 days after the Termination Date, a general release in the form attached hereto as Exhibit A.

  • Within ten business days after the Termination Date, Executive shall receive payment for all accrued salary through the Termination Date and the Earned Benefits, after which no further compensation of any kind or severance payment will be payable under this Agreement.

  • As a condition to receiving the payments and benefits provided by this Section 5(f) (other than payment for all accrued salary through the Termination Date and the Earned Benefits, which shall be payable in any case), Executive shall execute and deliver to the Company on the Termination Date a general release in the form attached hereto as Exhibit A.

More Definitions of Earned Benefits

Earned Benefits means any (A) bonus that is payable to Executive pursuant to the terms of (x) any annual Incentive Compensation Plan for a year ended prior to the Termination Date that has not been paid prior to the Termination Date and (y) the annual Incentive Compensation Plan for any subsequent years in the case of a termination pursuant to Section 5(a) if the Termination Date occurs on or before the last day of such annual Incentive Plan, (B) vacation time that has accrued and not been used as of the Termination Date, (C) other entitlements to cash payments that have accrued and not been paid as of the Termination Date, and (D) any deferred compensation earned by Executive prior to termination. Notwithstanding other provisions of this Agreement regarding the timing of payment of Earned Benefits, (x) any annual Incentive Compensation Plan bonus will not be paid until the completion of audited consolidated financial statements for the year to which such Incentive Compensation Plan relates, and (y) deferred compensation will be paid as provided in the Company’s deferred compensation plan.
Earned Benefits means any (A) bonus that is payable to Executive pursuant to the terms of (x) the 2006 annual Incentive Compensation Plan that has not been paid prior to the Termination Date and (y) the annual Incentive Compensation Plan for any subsequent year in the case of a termination pursuant to Section 5(a) if the Termination Date occurs on or before the last day of such annual Incentive Plan, (B) vacation time that has accrued and not been used as of the Termination Date, (C) other entitlements to cash payments that have accrued and not been paid as of the Termination Date, and (D) any deferred compensation earned by Executive prior to termination. Notwithstanding other provisions of this Agreement regarding the timing of payment of Earned Benefits, (x) the 2007 annual Incentive Compensation Plan bonus will not be paid until the completion of the Company’s 2007 audited consolidated financial statements, and (y) deferred compensation will be paid as provided in the Company’s deferred compensation plan.

Related to Earned Benefits

  • Vested Benefits means amounts which are vested or which Executive is otherwise entitled to receive under the terms of or in accordance with any plan, policy, practice or program of, or any contract or agreement with, the Company or any of its subsidiaries, at or subsequent to the date of his termination without regard to the performance by Executive of further services or the resolution of a contingency.

  • Covered benefits or “benefits” means those health care services to which a covered person is entitled under the terms of a health benefit plan.

  • Accrued Benefits shall include the following amounts, payable as described herein: (i) all base salary for the time period ending with the Termination Date; (ii) reimbursement for any and all monies advanced in connection with the Executive’s employment for reasonable and necessary expenses incurred by the Executive on behalf of the Employer for the time period ending with the Termination Date; (iii) any and all other cash earned through the Termination Date and deferred at the election of the Executive or pursuant to any deferred compensation plan then in effect; (iv) notwithstanding any provision of any bonus or incentive compensation plan applicable to the Executive, but subject to any deferral election then in effect, a lump sum amount, in cash, equal to the sum of (A) any bonus or incentive compensation that has been allocated or awarded to the Executive for a fiscal year or other measuring period under the plan that ends prior to the Termination Date but has not yet been paid (pursuant to Section 5(f) or otherwise) and (B) a pro rata portion to the Termination Date of the aggregate value of all contingent bonus or incentive compensation awards to the Executive for all uncompleted periods under the plan calculated as to each such award as if the Goals with respect to such bonus or incentive compensation award had been attained at the target level (reduced, but not below zero, by amounts paid under all such contingent bonus or incentive compensation awards upon the Change in Control of the Company to the extent such amounts relate to the same period of time); and (v) all other payments and benefits to which the Executive (or in the event of the Executive’s death, the Executive’s surviving spouse or other beneficiary) may be entitled on the Termination Date as compensatory fringe benefits or under the terms of any benefit plan of the Employer, excluding severance payments under any Employer severance policy, practice or agreement in effect on the Termination Date. Payment of Accrued Benefits shall be made promptly in accordance with the Company’s prevailing practice with respect to clauses (i) and (ii) or, with respect to clauses (iii), (iv) and (v), pursuant to the terms of the benefit plan or practice establishing such benefits; provided that payments pursuant to clause (iv)(B) shall be paid on the first day of the seventh month following the month in which the Executive’s Separation from Service occurs, unless the Executive’s Separation from Service is due to death, in which event such payment shall be made within 90 days of the date of Executive’s death.

  • Earned Compensation means any Annual Base Salary earned, but unpaid, for services rendered to the Company on or prior to the date on which the Employment Period ends pursuant to Section 3(a) (but excluding any salary and interest accrued thereon payment of which has been deferred).

  • Extended benefits means benefits, including benefits payable to federal civilian employees and to ex-servicemen under 5 U.S.C. Chapter 85, payable to an individual under the provisions of this section for weeks of unemployment in his eligibility period.

  • Earned Bonus means the bonus paid, if any, pursuant to the Company’s incentive compensation plans in effect from time to time. Earned Bonus shall be prorated based on the ratio of the number of days during such year that Executive was employed to 365.

  • Separation Benefits has the meaning accorded such term in Section 3.04.

  • Accrued Compensation means an amount which shall include all amounts earned or accrued through the "Termination Date" (as hereinafter defined) but not paid as of the Termination Date, including (i) base salary, (ii) reimbursement for reasonable and necessary expenses incurred by the Executive on behalf of the Company during the period ending on the Termination Date, (iii) vacation pay and (iv) bonuses and incentive compensation (other than the "Pro Rata Bonus" (as hereinafter defined)).

  • Retirement Benefits means benefits paid by reference to reaching, or the expectation of reaching, retirement or, where they are supplementary to those benefits and provided on an ancillary basis, in the form of payments on death, disability, or cessation of employment or in the form of support payments or services in case of sickness, indigence or death. In order to facilitate financial security in retirement, these benefits may take the form of payments for life, payments made for a temporary period, a lump sum, or any combination thereof;

  • Accrued Benefit have the meanings specified in ERISA.

  • Employment benefits means all benefits provided or made

  • Gap medical benefits means the benefits (if any) payable in respect of medical expenses that are less than, greater than or equal to the schedule fee, provided always that the medical expenses relate to a professional service that:

  • Excepted benefits means benefits under one or more (or any combination thereof) of the following:

  • Disability benefits means any cash payments which are payable to a covered individual for all or part of a period of disability pursuant to P.L.1948, c.110 (C.43:21-25 et al.).

  • Bereavement Pay Benefits means the benefits as set out in Article II hereof.

  • Severance Compensation means the compensation set forth in (i), (ii), and (iv) above.

  • Final compensation of a member means:

  • Severance Pay means any amount that is payable in cash and is identified by a Participating Company as severance pay, or any amount which is payable on account of periods beginning after the last date on which an employee (or former employee) is required to report for work for a Participating Company.

  • Erroneously Awarded Compensation means, with respect to each Executive Officer in connection with an Accounting Restatement, the amount of Clawback Eligible Incentive Compensation that exceeds the amount of Incentive-based Compensation that otherwise would have been Received had it been determined based on the restated amounts, computed without regard to any taxes paid.

  • Termination Compensation means a monthly cash amount equal to one-twelfth ( 1/12th) of the highest amount of the annual cash compensation (including cash bonuses and other cash-based compensation, including for these purposes amounts earned or payable whether or not deferred) received by Executive during any one of the three (3) calendar years immediately preceding the calendar year in which Executive’s Termination Date occurs; provided, that if the cash compensation received by Executive during the Termination Year exceeds the highest amount of the annual cash compensation received by Executive during any one of the immediately preceding three (3) consecutive calendar years, the cash compensation received by Executive during the Termination Year shall be deemed to be Executive’s highest amount of annual cash compensation. In no event shall Executive’s Termination Compensation include equity-based compensation (e.g., income realized as a result of Executive’s exercise of non-qualified stock options or other stock based benefits).

  • Fringe benefits means the amount of:

  • Basic Compensation means Salary and Benefits.

  • Severance Benefits means the payment of severance compensation as provided in Section 3.3 herein.

  • Termination Benefits means the benefits described in Section 4.1(b).

  • Bonus Compensation shall have the meaning set forth in Section 3(b).

  • Health Benefits means health maintenance organization, insured or self-funded medical, dental, vision, prescription drug and behavioral health benefits.
