Earnings Report definition

Earnings Report means, during any period when Titan is obligated to file reports under the provisions of the Securities Exchange Act of 1934, the Form 10-Q filed by Titan following each of the first three Quarters of its fiscal year and the Form 10-K filed by Titan following the fourth Quarter of its fiscal year, as long as such reports are timely filed. If such reports are not timely filed, then the “Earnings Report” means the press release, Form 8-K or other form of public communication issued by Titan whereby it reports revenue for such period.

Earnings Report means the statements of earnings for the Borrower and its Subsidiaries in the same form and substance as the report provided to the Administrative Agent prior to Closing Date together with any other information reasonably requested from time to time by the Administrative Agent.

Earnings Report means, (i) during any period when Buyer is obligated to file reports under the provisions of the Securities Exchange Act of 1934, the Form 6-K filed by Buyer containing its financial information for such quarter and (ii) during any period when Buyer is not obligated to file reports under the provisions of the Securities Exchange Act of 1934, the internal financial statements prepared by Buyer.

Earnings Report means, (i) during any period when iCAD is obligated to file reports under the provisions of the Securities Exchange Act of 1934, the Form 10-Q filed by iCAD following each of the first three Quarters of its fiscal year and the Form 10-K filed by iCAD following the fourth Quarter of its fiscal year, as long as such reports are timely filed (and if such reports are not timely filed, then the “Earnings Report” means the press release, Form 8-K or other form of public communication issued by iCAD whereby it reports revenue for such period) and (ii) during any period when iCAD is not obligated to file reports under the provisions of the Securities Exchange Act of 1934, the internal financial statements prepared by iCAD showing Revenues for such Quarter.

Earnings Report means, during any period when ZymoGenetics has a class of securities registered in the United States, the Form 10-Q filed by ZymoGenetics following each of the first three Quarters of its fiscal year and the Form 10-K filed by ZymoGenetics following the fourth Quarter of its fiscal year.

Earnings Report shall have the meaning set forth in Section 1.10(b).
