EBITDA Target definition

EBITDA Target means the Company's projected earnings before interest, taxes, one-time transition expenses, non-cash compensation expense charges, depreciation and amortization, as contained in the Company's budget for the Applicable Period and which is approved by the Board (without reference to any adjustments or revision, upwards or downwards, to such projected earnings which are subsequently approved by the Board as part of any subsequent revision to such budget), and (ii) the term "Financial Results" shall mean the Company's EBITDA calculated by reference to the Company's financial statements for the Applicable Period as filed with the Securities and Exchange Commission (the "SEC").
EBITDA Target for any given Applicable Year shall be as set forth in Appendix B of this Agreement, subject to the provisions of Section 3.3.
EBITDA Target means with respect to each Plan Year, the amount set forth in the following table opposite such Plan Year:

Examples of EBITDA Target in a sentence

  • Website' for the purposes of this PIN Application Form shall mean the website of the AMC (www.unionmf.com) / Registrar (www.camsonline.com) or any other website which the AMC may designate from time to time.

  • In no event shall Employee earn any amount under the Incentive Plan for any calendar year during the Term unless the actual Company EBITDA for such calendar year equals or exceeds ninety percent (90%) of the Annual EBITDA Target for such calendar year.

  • However, notwithstanding anything in this Employment Agreement to the contrary, the Approved Professional Performance Percentage shall be zero unless the actual Company EBITDA for the respective calendar year equals or exceeds ninety percent (90%) of the Annual EBITDA Target for such calendar year.

  • The Executive Bonus Plan shall provide that (i) if the Company achieves the Bank Case EBITDA Target (as set forth on Exhibit A) for an applicable fiscal year, the Executive's annual bonus shall be payable in an amount equal to 25% of her Annual Base Salary, and (ii) if the Company achieves the Equity Case EBITDA Target (as set forth on Exhibit A) for an applicable fiscal year, the Executive's annual bonus shall be payable in an amount equal to 50% of her Annual Base Salary.

  • If the Company does not achieve more than 90% of the Annual EBITDA Target, the Executive will be entitled to no cash bonus.


More Definitions of EBITDA Target

EBITDA Target and “Cumulative EBITDA Target” for a given period shall be as set forth in Exhibit A of this Agreement, subject to the provisions of Section 4.6.
EBITDA Target means, with respect to any fiscal year of the Company set forth on Annex I to this Agreement, the applicable amount set forth opposite such fiscal year on Annex I.
