EBITDA Threshold definition

EBITDA Threshold means EBITDA of Maker equal to or greater than $2,500,000; and
EBITDA Threshold means, with respect to the EBITDA Period, an amount equal to the sum of (a) 75% of Adjusted EBITDA for the month of June, 2003 plus (b) 85% of Adjusted EBITDA for subsequent months.
EBITDA Threshold has the meaning set forth in Section 2.05(a).

Examples of EBITDA Threshold in a sentence

  • For the avoidance of doubt, if the EBITDA for a particular Calculation Period does not exceed the applicable EBITDA Threshold, no Earn-out Payment shall be due for such Calculation Period, except as expressly set forth in Section 2.05(h).

  • If Meeting Services has failed to satisfy the Meeting Services EBITDA Threshold, then [Circuit A] may extend the Initial Meeting Service Term or any Meeting Services Renewal Term at its sole discretion.

  • If the EBITDA for a particular Calculation Period does not exceed the applicable EBITDA Threshold, no Earn-out Payment shall be due for such Calculation Period.

  • Notwithstanding anything to the contrary contained herein, if at any time prior to the end of 2020 Fiscal Year of Parent, one or more Adjustment Events occurs, the applicable Adjusted EBITDA Threshold in respect of each Milestone in respect of a Measurement Year ending after the date of such Adjustment Event shall be increased (in the case of an acquisition) or decreased (in the case of a sale) by an amount equal to the Adjusted EBITDA Adjustment Amount in respect of such Adjustment Event.

EBITDA Threshold means (a) with respect to Calculation Period 1, $23,000,000, and, (b) with respect to Calculation Period 2, the amount of actual EBITDA during Calculation Period 1, times 110%, so long as the EBITDA for Calculation Period 1 exceeds $23,000,000. If the EBITDA for Calculation Period 1 is less than or equal to $23,000,000, then the “EBITDA Threshold” with respect to Calculation Period 2 means $23,000,000.

EBITDA Threshold means, for each Calculation Period, $20,000,000.
