Customer shall be invoiced for the Educational Products and Services ordered hereunder in accordance with the Terms, unless otherwise specified on this Order.
For the avoidance of doubt, all fees for the Educational Products and Services set forth herein are exclusive of such taxes.
This Attachment is fully incorporated into the terms and conditions of the Online Educational Products and Services Order (“Order”) to which it is attached and the K12 Online Educational Products and Services Agreement Terms (the “Terms”) that are incorporated into said Order.
The School shall define “school officials” and “legitimate educational interest” as permitted by FERPA, broadly enough to permit the provision of the Educational Products and Services hereunder.
K12 will operate as an independent contractor to Customer and will be responsible for delivering the Educational Products and Services required by this Agreement.
For the Educational Products and Services, Customer shall compensate K12 at the rates and conditions set forth in this Agreement.
K12 will employ and determine the employment terms for its administrative personnel who may include a School Operations Director (“SOD”) or equivalent administrative staff position, and such other staff as K12 deems necessary to deliver the Educational Products and Services described in this Agreement.
Use for Customer related purposes shall include any use associated with ▇▇▇▇▇▇▇’▇ or its subcontractor’s responsibility to provide the Educational Products and Services under this Agreement and for the purposes specified in the Privacy Policy.
In the event this Agreement terminates as provided for herein, or it expires pursuant to its terms, and unless otherwise agreed by the Parties in writing, the School shall owe for all products and services rendered to include the Administrative and Technology Services Fees, Educational Products and Services in accordance with this Agreement for the period up to and including then current Fiscal Year of the termination or expiration.
K12 may terminate this Agreement in the event there is a material reduction in Program Revenue below the amount for the prior Fiscal Year or such reduction will materially increase the financial risk to K12 in providing the Educational Products and Services.
