Effective May. 31, 1998 (the "Resignation Date"), (a) Cerqueira hereby volunt▇▇▇▇▇ ▇▇▇igns from all positions that he occupies as an employee and/or officer of Carrington and any o▇ ▇▇▇ ▇▇bsidiary corporations, including but not limited to his position as Vice President, Manufacturing and Operations, of Carrington; and (b) ▇▇▇ ▇▇▇▇▇r agreement between Carrington and Cerqu▇▇▇▇ ▇▇▇▇▇ July 6, ▇▇▇▇ ▇▇▇ signed by Cerqueira on July 6, 19▇▇, ▇▇ hereby terminated in its entirety.
