Therefore, from and after the date of execution and delivery of this Agreement, Seller shall take all reasonable steps, including all steps that the Program Agent, any Managing Agent or any Investor may from time to time reasonably request, to maintain Seller’s identity as a separate legal entity and to make it manifest to third parties that Seller is an entity with assets and liabilities distinct from those of any El Paso Entity thereof and not just a division of a El Paso Entity.
Therefore, from and after the date of execution and delivery of this Agreement, Finance LLC shall take all reasonable steps, including all steps that Buyer (or its assigns) may from time to time reasonably request, to maintain Finance LLC’s identity as a separate legal entity and to make it manifest to third parties that Finance LLC is an entity with assets and liabilities distinct from those of any El Paso Entity thereof and not just a division of a El Paso Entity.
For the avoidance of doubt, the provisions of this Agreement shall not give rise to any right of recourse against any officer or director of any El Paso Entity or any Partnership Entity.
El Paso will transfer and assign (or cause another El Paso Entity to transfer and assign) to an EP Energy Entity all rights to seek contribution or damages from any applicable third party (such as a third party who aggravates an injury to a worker who makes a workers’ compensation claim) with respect to any workers’ compensation claim for which EP Energy is responsible for pursuant to this Article VIII.
Notwithstanding any provision contained in this Agreement to the contrary, this Agreement is intended as and shall be deemed to be an agreement for the sale of assets and, except with respect to El Paso Entity and the Portage Entity, the sale of which is a sale of Ownership Interests, none of the provisions hereof shall be deemed to create any obligation or liability of any Person that is not a party, whether under a third-party beneficiary theory, laws relating to transferee liabilities or otherwise.
None of the Sponsor, the Company nor any El Paso Entity is a "holding company" or a "subsidiary company" of a "holding company" or an "affiliate" of a "holding company" or of a "subsidiary company" of a "holding company" or a "public utility" within the meaning of the Public Utility Holding Company Act of 1935, as amended.
All records and data in any form relating to EP Energy Group Employees shall be the property of the EP Energy Group, except that records and data pertaining to such an Employee and relating to any period that such Employee was (i) employed by any El Paso Entity or (ii) covered under any Benefit Plan sponsored by any El Paso Entity (to the extent that such records or data relate to such coverage) shall be jointly owned by the EP Energy Group and those El Paso Group Entities.
EP Energy will assume and honor, or will cause an EP Energy Entity to assume and honor, any agreements to which any EP Energy Group Employee is party with any El Paso Entity, including any (i) employment contract, (ii) retention, severance or change of control arrangement or (iii) expatriate contract or arrangement (including agreements and obligations regarding repatriation, relocation, equalization of taxes and living standards in the host country).
El Paso shall also be permitted to retain copies of all restrictive covenant agreements with any EP Energy Group Employee in which any El Paso Entity has a valid business interest.
Neither the consummation of the Distribution nor any transaction in connection with the Distribution shall be deemed a “change of control” or “change in control” for purposes of any Benefit Plan of any El Paso Entity or any EP Energy Entity.
