Election Chairman. (a) The Parties agree to use their best efforts and to take all actions to cause a nominee of AccelMed and MediVision or the Principal MV Shareholders serving as a member of the Board of Directors pursuant to Section 1.1(a)(iv) or 1.1(b)(iii) (as the case may be) to be named by the Board of Directors as Chairman upon his or her election to the Board of Directors.
