Eligible Category B Inventory definition

Eligible Category B Inventory without duplication, (a) work-in-process and finished specialty Inventory and, (b) other Inventory that is not Eligible Category A Inventory, in each case owned by a Borrower which is Eligible Inventory; provided, however, that "Eligible Category B Inventory" shall not include Eligible Category A Inventory or Eligible In-Transit Inventory.
Eligible Category B Inventory that is not owned by a Borrower, but as to which, as determined by Agent in its Permitted Discretion and with respect to each purchase of Inventory separately:
Eligible Category B Inventory without duplication, (a) work-in-process and finished specialty Inventory and (b) other Inventory that is not Eligible Category A Inventory, in each case owned by a Borrower which is Eligible Inventory; provided, however, that “Eligible Category B Inventory” shall not include Eligible Category A Inventory or Eligible In-Transit Inventory. “Eligible Credit Card Account” - subject to the immediately succeeding sentence, each Credit Card Account owing to, and earned by performance by, a Borrower that arises in the Ordinary Course of Business from a credit card processor and/or credit card issuer and that is deemed by Agent, in its Permitted Discretion, to be an Eligible Credit Card Account. Without limiting the foregoing, the following shall not constitute Eligible Credit Card Accounts:

Examples of Eligible Category B Inventory in a sentence

  • Value — (a) with respect to Eligible Category B Inventory and work-in-process fuel Inventory, the value of Inventory determined by Agent in good faith on the basis of the lower of cost or market, calculated on a first-in, first-out basis, and (b) with respect to Eligible Category A Inventory comprised of crude and finished fuel Inventory, the market value of such Inventory as determined by Pxxxx’x Oilgram for Gulf Coast Deliveries.

  • Eligible Category B Inventory — work-in-process and finished specialty Inventory owned by a Borrower which is Eligible Inventory.

  • Inventory Formula Amount — the lesser of (a) the sum of (i) 75% of the Value of Eligible Category A Inventory plus (ii) 65% of the Value of Eligible Category B Inventory; or (b) 85% of the NOLV Percentage of the Value of Eligible Category A Inventory and Eligible Category B Inventory; provided, however, that Agent, subject to Section 14.1.1(a)(ii)(C), may adjust such advance percentages from time to time in its reasonable discretion exercised in good faith.

  • Inventory Formula Amount — the sum of (a) 80% of the Value of Eligible Category A Inventory plus (b) the lesser of (i) 70% of the Value of Eligible Category B Inventory, or (ii) 85% of the NOLV Percentage of the Value of Eligible Category B Inventory; provided, however, that Agent, subject to Section 14.1.1(a)(iii)(A), may adjust such advance percentages from time to time in its reasonable discretion exercised in good faith.

  • Eligible Finished Goods Inventory means Inventory that qualifies as Eligible Inventory and consists of first quality finished goods held for sale in the ordinary course of Borrowers’ business.

  • Product Category means the applicable category which best describes the product as listed in this Section 94508.

  • Eligible Inventory means, with respect to any Borrower, all Trailers (less than ten years old), Aircraft and Aircraft engines complying with Stage III noise reduction requirements, Railcars (less than twenty-five years old), marine containers (less than ten years old), and, if approved by the Requisite Lenders, other related Equipment, in each case that (a) is owned of record by such Borrower or a Marine Subsidiary of such Borrower (or jointly by such Borrower and one or more of the other Borrowers) or, subject to the approval of Agent, any Owner Trustee of which such Borrower is the sole beneficiary or owner (or is the beneficiary or owner jointly with one or more of the other Borrowers), as applicable, (b) is subject to a Lease acceptable to Agent in its sole discretion (as reviewed in full in connection with each requested borrowing hereunder), which Lease shall, at a minimum, (A) be non-cancelable, (B) be with a lessee of acceptable credit quality as determined by Agent, and (C) be of a firm term in excess of one (1) year, except that cargo-containers and Trailers may be on Utilization Leases; (c) has a value and marketability reasonably satisfactory to the Agent; and (d) is free and clear of all Liens, except (i) any interest of a lessee thereof pursuant to a Lease entered into with such Borrower or a Marine Subsidiary of such Borrower or such Borrower’s or such Marine Subsidiary’s predecessor in interest or such Owner Trustee or nominee entity, as lessor, or (ii) as otherwise permitted by Section 6.1, provided that any Liens of the type permitted under clause (ii) encumbering any item of Equipment shall not secure obligations in amounts which materially impair the equity value in such item of Equipment. Requisite Lenders in their sole discretion, on a case by case basis, may approve other items or types of Equipment for credit under "Eligible Inventory" from time to time. Equipment which is Eligible Inventory will cease to be Eligible Inventory at any time it no longer continues to meet all of the above requirements.

  • Inventory Formula Amount means (i) the lesser of (x) 75% of the Value of Eligible Inventory and (y) 85% of the NOLV Percentage of the Value of Eligible Inventory plus (ii) the lesser of (x) the lesser of (1) 75% of the Value of Eligible In-Transit Inventory and (2) 85% of the NOLV Percentage of the Value of the Eligible In-Transit Inventory and (y) $10,000,000.

  • Product Inventory means all inventory owned as of the Closing by Seller or any Affiliate thereof of finished Product that is in conformance with the Specifications and has an expiration date of October 1, 2016 or later, regardless of whether such inventory is held at a location or facility of Seller or any Affiliate (or of any other Person on behalf of Seller or any Affiliate, including in any of Seller’s warehouses, manufacturers, suppliers, distributors or consignees) or in transit to or from Seller or any Affiliate (or any such other Person).

  • Category A means the relevant information which shall be included in the base prospectus. This information cannot be left in blank for later insertion in the final terms;

  • In-Transit Inventory means Inventory of a Borrower which is in the possession of a common carrier and is in transit from a Foreign Vendor of a Borrower from a location outside of the continental United States to a location of a Borrower that is within the continental United States.

  • Transaction Category means the particular type of repurchase transaction effected hereunder, as determined with reference to the term of the transaction and the categories of Securities that constitute Eligible Securities therefor, which term shall include FICASH I Transactions, FICASH II Transactions, FICASH III Transactions, FITERM I Transactions, FITERM II Transactions, FITERM III Transactions, and such other transaction categories as may from time to time be designated by the Funds by notice to Seller, Custodian and Repo Custodian.

  • Excluded Inventory shall have the meaning set forth in Section 2.4.

  • Eligible In-Transit Inventory means, as of any date of determination thereof, without duplication of other Eligible Inventory, In-Transit Inventory:

  • Category B means that the base prospectus shall include all the general principles related to the information required, and only the details which are unknown at the time of the approval of the base prospectus can be left in blank for later insertion in the final terms;

  • Special Category Data means any personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, and the processing of genetic data, biometric data for the purpose of uniquely identifying a natural person, data concerning health or data concerning a natural person's sex life or sexual orientation.

  • Inventory Value means with respect to any Inventory of a Loan Party at the time of any determination thereof, the standard cost determined on a first in first out basis and carried on the general ledger or inventory system of such Loan Party stated on a basis consistent with its current and historical accounting practices, in Dollars, determined in accordance with the standard cost method of accounting less, without duplication, (i) any markup on Inventory from an Affiliate and (ii) in the event variances under the standard cost method are expensed, a Reserve reasonably determined by the Agent as appropriate in order to adjust the standard cost of Eligible Inventory to approximate actual cost.

  • Obligation Category means Payment, Borrowed Money, Bond, Loan, or Bond or Loan, only one of which shall be specified in the Standard, and:

  • Category 2 Training: This category includes services related to training state employees to understand and apply Agile concepts and tools.

  • Category 3 means those affected lands and support facilities if those lands supported operations which were not completed or substantially completed prior to July 1, 1973 (the effective date of the Wyoming Environmental Quality Act) and any affected lands or support facilities taken out of use on or after July 1, 1973 and before May 25, 1975 (the effective date of the Division’s 1975 Rules and Regulations).

  • Rating Category means one of the generic rating categories of any Rating Agency without regard to any refinement or gradation of such rating by a numerical modifier or otherwise.

  • Highest Required Investment Category (i) With respect to ratings assigned by Moody’s, “Aa2” or “P-1” for one month instruments, “Aa2” and “P-1” for three month instruments, “Aa3” and “P-1” for six month instruments and “Aa2” and “P-1” for instruments with a term in excess of six months, (ii) with respect to rating assigned by S&P, “A-1” for short-term instruments and “A” for long-term instruments, and (iii) with respect to rating assigned by Fitch (if such investment is rated by Fitch), “F-1+” for short-term instruments and “AAA” for long-term instruments.

  • Inventory Reserves means such reserves as may be established from time to time by the Administrative Agent, in its reasonable commercial discretion exercised in good faith and not inconsistent with past practice, with respect to changes in the determination of the salability, of the Eligible Inventory (or Eligible In-Transit Inventory, as the case may be) or which reflect such other factors as negatively affect the market value of the Eligible Inventory, but without duplication of any Tax Stamp Reserves.

  • Eligible cost means as applied to a qualified project to be financed from the federal accounts, the costs that are permitted under applicable federal laws, requirements, procedures, and guidelines in regard to establishing, operating, and providing assistance from the bank. As applied to a qualified project to be financed from the state highway account, these costs include the costs of preliminary engineering, traffic and revenue studies, environmental studies, right‑of‑way acquisition, legal and financial services associated with the development of the qualified project, construction, construction management, facilities, and other costs necessary for the qualified project. As applied to any qualified project to be financed from the state transit account, eligible project costs are limited to capital expenditures for transit equipment and facilities.
