Eligible German Inventory definition

Eligible German Inventory means for each German Borrower, the Eligible Inventory owned by such German Borrower.
Eligible German Inventory means all Inventory (including lead, cores, work-in-process (other than smelter work-in-process), lead and non-lead manufacturing components, dry unfinished batteries and finished goods) of any German Loan Party reflected in the most recent Borrowing Base Certificate delivered by the Lead Borrower to the Administrative Agent; provided, however, that Eligible German Inventory shall in no event include Inventory that is Ineligible Inventory.

  • The Agent alone shall be authorized to determine whether any Accounts or Inventory constitute Eligible Accounts, Eligible Inventory, Eligible German Accounts and Eligible German Inventory, whether to impose or release any Availability Reserve, or whether any conditions to funding or to issuance of a Letter of Credit have been satisfied, which determinations and judgments, if exercised in good faith, shall exonerate the Agent from liability to any Lender or other Person for any error in judgment.
