Eligible Investor definition

Eligible Investor. Either (i) a Qualified Institutional Buyer that is purchasing for its own account or for the account of a Qualified Institutional Buyer to whom notice is given that the offer, sale or transfer is being made in reliance on Rule 144A or (ii) an Institutional Accredited Investor.
Eligible Investor means a person who is entitled to hold securities through a so-called “X-Account” (being an account exempted from withholding tax) in a settlement system in accordance with Article 4 of the Belgian Royal Decree of 26 May 1994 on the collection and refund of withholding tax (as amended or replaced from time to time).
Eligible Investor means a person who is able to acquire and hold each Note (and any shares of Common Stock issuable upon conversion of the Notes) without disclosure under section 708 of the Australian Corporations Act.

Examples of Eligible Investor in a sentence

  • Subject to the terms and conditions of this Section 4.1 and applicable securities laws, if the Company proposes to offer or sell any New Securities, the Company shall first offer such New Securities to each Eligible Investor.

  • At the expiration of such twenty (20) day period, the Company shall promptly notify each Eligible Investor that elects to purchase or acquire all the shares available to it (each, a “Fully Exercising Investor”) of any other Eligible Investor’s failure to do likewise.

  • An Eligible Investor shall be entitled to apportion the right of first offer hereby granted to it in such proportions as it deems appropriate (within the bounds of the right of first offer granted to it in this Agreement), among (i) itself and (ii) its Affiliates.


More Definitions of Eligible Investor

Eligible Investor means an individual, estate, or trust subject to the tax imposed by section 5747.02 of the Revised Code, or a pass-through entity in which such an individual, estate, or trust holds a direct or indirect ownership or other equity interest. To qualify as an eligible investor, the individual, estate, trust, or pass-through entity shall not owe any outstanding tax or other liability to the state at the time of a qualifying investment.
Eligible Investor means an investor who (i) is an employee of the Investment Manager or Sub- Investment Manager of the relevant Fund; or (ii) has an agreement in place with the Investment Manager covering the charging structure relevant to the investor’s investment in Class D Shares, at the time the relevant subscription order is received and which remains in place for the duration of the investor’s investment;
