Each Emeritus Member of the Board of Directors shall serve until his or her death, resignation, retirement or removal.
Upon invitation by the Board of Directors, any individual appointed as an Emeritus Member of the Board of Directors may, but shall not be required to, attend meetings of the Board of Directors and may participate in any discussions at such meetings; provided, however, that such individual shall not be counted in determining a quorum, vote or initiate any actions to be voted on at any meeting of the Board of Directors.
