Employer Information definition

Employer Information means Confidential Information and Trade Secrets.
Employer Information means, collectively, Confidential Information and Trade Secrets.
Employer Information means all business information, technological information, intellectual property, trade secrets, customer and other information belonging to Employer or relating to Employer’s internal affairs, or information relating to its business, technology, employees, and/or customers which is not readily available to the general public. Employee further agrees to return to Employer all of Employer’s property and equipment, and all documents (including all electronic material and duplicate copies) and other tangible items of or containing Employer Information which are in Employee’s possession, custody or control, or which come into his/her possession, custody, or control after the Separation Date. Employee further promises not to commit any act or make any statement that is, or could reasonably be interpreted as, detrimental to the business, reputation, or good will of Employer, including disparaging or embarrassing Employer or its officers, directors, agents, and/or other personnel. Employer and Employee acknowledge the terms of this Agreement shall not preclude Employee from providing truthful testimony if mandated by subpoena or court order to do so, or pursuant to an informal request from a governmental agency. Employer agrees to instruct Employee’s supervisor not to publicly make any defamatory statement about Employee.

Employer Information means proprietary and confidential information belonging to the Employer or any of the Released Parties, including, without limitation, identification of and information about policies, securities, loans and other assets held by the party and its customers and all know-how, processes, guidelines, techniques, strategies, trading information, research, ideas, concepts, product plans, products, client and investor lists and client and investor information, markets, developments, formulas, technology, test results, test procedures, findings, reports, materials, samples, compositions, drawings, designs, marketing, finances, procedures, business operations and other business information, whether written, graphic, or oral, that Employee had access to not generally available to the public. You acknowledge and agree that the Employer derives independent economic value from the Employer Information not being known to the public or to other persons or businesses who can obtain value from its disclosure or use. You acknowledge and agree that in the course of your employment you have obtained Employer Information. You understand and agree that such Employer Information was provided to you only for use as an employee of the Employer. Accordingly, Employee hereby understands and agrees to:

Related to Employer Information

  • Confidential Information Breach means, generally, an instance where an unauthorized person or entity accesses Confidential Information in any manner, including but not limited to the following occurrences: (1) any Confidential Information that is not encrypted or protected is misplaced, lost, stolen or in any way compromised; (2) one or more third parties have had access to or taken control or possession of any Confidential Information that is not encrypted or protected without prior written authorization from the State; (3) the unauthorized acquisition of encrypted or protected Confidential Information together with the confidential process or key that is capable of compromising the integrity of the Confidential Information; or (4) if there is a substantial risk of identity theft or fraud to the client, the Contractor, the Department or State.

  • Confidential Information has the meaning set forth in Section 6.1.

  • State Confidential Information means any and all State Records not subject to disclosure under CORA. State Confidential Information shall include, but is not limited to, PII, PHI, PCI, Tax Information, CJI, and State personnel records not subject to disclosure under CORA. State Confidential Information shall not include information or data concerning individuals that is not deemed confidential but nevertheless belongs to the State, which has been communicated, furnished, or disclosed by the State to Contractor which (i) is subject to disclosure pursuant to CORA; (ii) is already known to Contractor without restrictions at the time of its disclosure to Contractor; (iii) is or subsequently becomes publicly available without breach of any obligation owed by Contractor to the State; (iv) is disclosed to Contractor, without confidentiality obligations, by a third party who has the right to disclose such information; or (v) was independently developed without reliance on any State Confidential Information.

  • Personal Information Breach means an instance where an unauthorized person or entity accesses Personal Information in any manner, including but not limited to the following occurrences: (1) any Personal Information that is not encrypted or protected is misplaced, lost, stolen or in any way compromised; (2) one or more third parties have had access to or taken control or possession of any Personal Information that is not encrypted or protected without prior written authorization from the State; (3) the unauthorized acquisition of encrypted or protected Personal Information together with the confidential process or key that is capable of compromising the integrity of the Personal Information; or (4) if there is a substantial risk of identity theft or fraud to the client, the Contractor, the Department or State.

  • Information has the meaning specified in Section 10.07.

  • Exempt Information means any information or class of information (including but not limited to any document, report, Agreement or other material containing information) relating to this Agreement or otherwise relating to the Provider, which potentially falls within an exemption to FOIA (as set out therein);
