End Use Certificate definition

End Use Certificate means a certificate signed by the statutory auditor of the Company substantially in the form set out in Schedule 5 (End Use Certificate) hereto.
End Use Certificate means, in relation to the Debentures, each end-use certificate signed by the statutory auditor of the Company certifying application of proceeds of the Debentures in accordance with Clause 4.5 (Use of Proceeds).

  • Upon approval to participate in the DOD CFL Program, Recipients wishing to acquire equipment that is subject to export controls agrees that an End Use Certificate (EUC) must be completed and submitted for clearance through the Trade Security Control office.

  • The Customer accepts and acknowledges that WALLIX may not under any circumstances be held liable for any delay in delivery or suspension of the performance or non-performance of the Order, resulting and attributable to (i) the absence of supply by the Customer of the End Use Certificate, or (ii) a delay by the authorities in issuing an authorization and/or a refusal to issue an authorization by the authorities.

  • In this respect, the Customer undertakes, at the first request of WALLIX or one of its Authorized Partners, to provide a duly completed and signed End Use Certificate, so that WALLIX can carry out all the necessary administrative formalities.

Related to End Use Certificate

  • Borrowing Base Certificate means a certificate, signed and certified as accurate and complete by a Financial Officer of the Borrower Representative, in substantially the form of Exhibit C or another form which is acceptable to the Administrative Agent in its sole discretion.

  • Pricing Certificate means an Officer’s Certificate of Company certifying the Consolidated Leverage Ratio as at the last day of any Fiscal Quarter and setting forth the calculation of such Consolidated Leverage Ratio in reasonable detail.

  • Acceptance Certificate (11/18) means a written instrument by which the City notifies Contractor that a Deliverable has been Accepted or Accepted with exceptions, and Acceptance Criteria have been met or waived, in whole or in part.

  • Closing Date Certificate means a Closing Date Certificate substantially in the form of Exhibit G-1.

  • Compliance Certificate means a certificate substantially in the form of Exhibit D.
