Engagement Period definition

Engagement Period means the period beginning on May 9, 2022, and ending on the earlier of (i) twelve (12) months from the date of such date, (ii) the final closing, if any, of the Offering, or (iii) the date that either party to this Agreement gives the other party to this Agreement at least thirty (30) days’ advance written notice of termination of that certain engagement letter agreement by and between the Company and the Representative, dated as of May 9, 2022.
Engagement Period means the period that starts at the earlier of the date when the member or firm signs the engagement letter or commences procedures in respect of the engagement and ends when the assurance report is issued, except when the engagement is of a recurring nature, in which case the engagement period ends with:

  • The Representative will provide a list of investors at the conclusion of the Engagement Period that were introduced to the Company during the Engagement Period and only these investors will be eligible for the fees specified in this section.

More Definitions of Engagement Period

Engagement Period means the period beginning on May 8, 2024, and ending on the earliest of (i) May 7, 2025, (ii) the Closing Date, or (iii) the date that the Company terminates the Engagement Agreement by and between the Company and the Representative dated May 8, 2024 (the “Engagement Letter”) pursuant to the terms therein. The Company, pursuant to FINRA Rule 5110(g)(5), shall have the right to terminate the Agreement for cause. Cause shall mean a material failure by the Representative to provide the services as contemplated in the Agreement. Any such termination for cause shall terminate any obligation of the Company to pay any cash fee pursuant to this Section 8.
Engagement Period means the period from the date of the Engagement Agreement and ending on June 30, 2025. In the event the Offering is terminated for cause as specified in Section 10, in compliance with FINRA Rule 5110(g), the Company shall not be obligated to pay the fees provided in this Section 4(r).

For the avoidance of doubt, this provision shall not apply to Jupiter Gold Corporation and Apollo Resources Corporation, both of which are non-U.S. entities in which the Company has an ownership stake. In addition, this provision shall not apply to the Company Carve Outs.
Engagement Period means the period beginning on February 12, 2025 and ending upon the consummation of the Offering.
