Consulting Period definition

Consulting Period has the meaning assigned thereto in Section 14(f) hereof.

Consulting Period shall have the meaning ascribed to that term in Section 9(a).

Consulting Period means the period beginning on the Change in Control Date and continuing until the second anniversary of such date.

Examples of Consulting Period in a sentence

• You shall be permitted to perform services for other entities during the Consulting Period; provided, that such services are not in violation of the PIA Surviving Provisions or Section 9 of the Severance Plan and do not otherwise present an actual or potential conflict of interest with your duties under this Agreement.

• During the Consulting Period, you will continue to vest in your previously granted outstanding stock options (“Outstanding Stock Options”) and restricted stock unit awards (“Outstanding RSUs”) granted under the Vroom, Inc.

• You and the Company acknowledge and agree that, during the Consulting Period, you shall be an independent contractor.

• During the Consulting Period and thereafter, you shall not be an agent or employee of the Company and shall not be authorized to act on behalf of the Company.

• Consultant will be responsible for assisting the Company and be available to perform such consulting services requested by the Company throughout the Consulting Period (defined below), on an as-needed basis (the “Services”), including, without limitation, to assist in the transfer of knowledge and to serve in a financial matters advisory capacity.

More Definitions of Consulting Period

Consulting Period means a period from the Closing Date until 3 months after the Closing Date; provided that, at Parent's option, such period may be extended by an additional 3 months;
