Maximum potential dilution to Existing Stockholders who do not participate in the Rights Issue is achieved when the maximum potential number of units of Ordinary Stock issuable pursuant to the Proposals (i.e. the Maximum Potential Enlarged Capital Stock) is in fact issued on completion of the Proposals (see note 1).
