Environmental Violations definition

Environmental Violations shall have the meaning set forth in Section 12.5.
Environmental Violations means any violation, as of the Closing Date, of Environmental Laws (as such laws exist as of the Closing Date) in the operation of the Business, or the failure to have any Permit, as of the Closing Date, required by Environmental Laws (as such laws exist as of the Closing Date) which are imposed on or incurred by Buyer as a result of an affirmative obligation imposed upon Buyer by the actions of a Governmental Authority, except to the extent reserved for on the December 1994 Balance Sheet. "Existing Environmental Violations" shall be those that are scheduled or required to be scheduled in this Agreement.
Environmental Violations means, with respect to the Leased Property, any activity, occurrence or condition that violates or results in non-compliance with any Environmental Law.

More Definitions of Environmental Violations

Environmental Violations means any and all acts, omissions, conditions, Releases, or incidents related to the operations of the Sellers (before the Closing) or the Purchaser or subsequent owners or operators (after the Closing) at the Transferred Real Property that violate any Environmental Law.

  • Environmental Notices means notice from any Environmental Authority or by any other person or entity, of possible or alleged noncompliance with or liability under any Environmental Requirement, including without limitation any complaints, citations, demands or requests from any Environmental Authority or from any other person or entity for correction of any violation of any Environmental Requirement or any investigations concerning any violation of any Environmental Requirement.

  • Environmental Condition means any condition or circumstance, including the presence of Hazardous Substances which does or would (i) require assessment, investigation, abatement, correction, removal or remediation under any Environmental Law, (ii) give rise to any civil or criminal Liability under any Environmental Law, (iii) create or constitute a public or private nuisance or (iv) constitute a violation of or non-compliance with any Environmental Law.

  • Adverse Environmental Condition shall refer to (i) the existence or the continuation of the existence, of an Environmental Emission (including, without limitation, a sudden or non-sudden accidental or non-accidental Environmental Emission), of, or exposure to, any substance, chemical, material, pollutant, Contaminant, odor or audible noise or other release or emission in, into or onto the environment (including, without limitation, the air, ground, water or any surface) at, in, by, from or related to any Equipment, (ii) the environmental aspect of the transportation, storage, treatment or disposal of materials in connection with the operation of any Equipment or (iii) the violation, or alleged violation of any statutes, ordinances, orders, rules regulations, permits or licenses of, by or from any governmental authority, agency or court relating to environmental matters connected with any Equipment.

  • Environmental Activities means the use, generation, transportation, handling, discharge, production, treatment, storage, release or disposal of any Hazardous Materials at any time to or from any portion of the Premises or located on or present on or under any portion of the Premises.
