EPK Purchase Price, definition

EPK Purchase Price, with respect to a Transaction, means the aggregate purchase price payable and/or paid to the Vendor for the Goods under such Transaction as set forth in the Vendor Pro Forma Invoice for such Transaction and the Confirmation with respect to such Transaction.

Examples of EPK Purchase Price, in a sentence

  • Unless otherwise specified in the Confirmation relevant to a Transaction, the aggregate EPK Purchase Price for all Transactions at any time outstanding shall not be greater than $11,500,000.00.

  • Unless otherwise specified in the Confirmation relevant to a Transaction, the maximum EPK Purchase Price shall be $ 1,000,000.00.

  • EPK reserves the right to change or amend the percentage of the EPK Purchase Price to collect the Commitment Fee at anytime.

  • The Commitment Fee is deemed by the Manager to have been earned by EPK upon the signing of this agreement and shall be payable from the payments received by EPK from Purchaser and/or Factor in an amount equal to an additional 5% of the EPK Purchase Price of each Transaction in addition to the fees detailed in the EPK Minimum Proceeds, until the Commitment Fee has been paid in full.

  • Unless otherwise specified in the Confirmation relevant to a Transaction, the maximum EPK Purchase Price shall be $1,000,000.00.
