Sell or transfer any property, real or personal, used or useful in its business, whether now owned or hereafter acquired, and thereafter rent or lease such property (a “Sale and Lease-Back Transaction”) except Sale and Lease-Back Transactions the aggregate Attributable Debt with respect thereto outstanding would not exceed the sum of (a) the greater of (i) $110,000,000 and (ii) 50% of LTM Consolidated Adjusted EBITDA, plus (b) the Available Equity Amount.
Any partial prepayment by the Borrower of Advances hereunder (other than with respect to a prepayment made to cause the Borrowing Base Test or the Minimum Equity Amount Test, as applicable, to be satisfied, so long as the amount of such prepayment is no greater than the minimum amount necessary to cause the Borrowing Base Test or the Minimum Equity Amount Test, as applicable, to be satisfied) shall be in a minimum amount of $500,000 with integral multiples of $100,000 above such amount.
The Servicer will furnish to the Administrative Agent and the Collateral Custodian (1) promptly upon becoming aware thereof (and in any event within two (2) Business Days), notice of (x) any Change of Control or (y) any other event or circumstance that could reasonably be expected to have a Material Adverse Effect and (2) promptly upon becoming aware thereof, any failure of the Borrowing Base Test or the Minimum Equity Amount Test to be satisfied.
As of the close of business on the Closing Date, the CedarStone Adjusted Consolidated Shareholders’ Equity shall not be less than (A) the Minimum Equity Amount (as such amount may be adjusted pursuant to Section 2.01(c)), less (B) Five Hundred Thousand Dollars ($500,000).
