Equity Distribution definition

Equity Distribution means any issuance of Equity Interests by the Company, including without limitation, any shares of Common Stock issued in connection with the Omnibus Incentive Plan (as such term is defined in the Business Combination Agreement).

Equity Distribution has the meaning given in clause 7.1.

Equity Distribution shall have the meaning provided in Section 7.5.

Examples of Equity Distribution in a sentence

• The aggregate offering price for the Shares that may be sold on or after the date hereof pursuant to this Agreement, the Alternative Equity Distribution Agreements, any Terms Agreement and any Alternative Terms Agreement shall not exceed the Maximum Amount.

• The Company has entered into, and from time to time may also enter into separate equity distribution agreements (each, an “Alternative Equity Distribution Agreement” and collectively, the “Alternative Equity Distribution Agreements”), dated of even date herewith, with each of the entities listed on Schedule A hereto, as sales agent and/or principal (each, an “Alternative Manager” and collectively, the “Alternative Managers”).

Equity Distribution shall have the meaning set forth in Section 2.1(m).

Equity Distribution means any dividend or other distribution (whether in cash, securities or other property) with respect to any membership interest or other equity interest in the Borrower, or any payment (whether in cash, securities or other property), including any sinking fund or similar deposit, on account of the purchase, redemption, retirement, acquisition, cancellation or termination of any such membership or other equity interest or of any option, warrant or other right to acquire any such membership or other equity interest.

Equity Distribution means the quantum of any amount returned by the Seller to its shareholders whether in the form of dividends, redemption of capital, and repayment of shareholder loans qualifying as Equity or otherwise;

Equity Distribution means any dividend or other distribution, direct or indirect, on account of any Equity Interests of a Borrower now or hereafter outstanding.

Equity Distribution has the meaning assigned to such term in the recitals.

Equity Distribution means: (a) payments made by the Concessionaire towards dividends, share buy-backs, redemptions of shares, payment of principal, interest or fees in respect of instruments convertible into equity share capital or subordinated loans from its Associates, shareholders or other parties (excluding payments made to Lenders); (b) loans given by the Concessionaire to its Associates or shareholders; or (c) any other payments made by the Concessionaire to its shareholders.
