Equity Pay definition

Equity Pay means the payments (whether payable in cash or stock) made pursuant to an equity award that is granted to a Director under the Jacobs Engineering Group Inc. 1999 Outside Director Stock Plan (or its successor) and is designated by the Committee as eligible for deferral under this Plan. Except as designated otherwise by the Committee, Equity Pay shall include dividend equivalent rights that are payable under the equity award.

No payment pursuant to this Schedule is payable to a dealer, bank or other service provider for the first year with respect to sales of $1 million or more, at no load, in cases where A I M Distributors, Inc. has advanced the service fee to the dealer, bank or other service provider.

  • Restricted Debt Payment has the meaning set forth in Section 6.04(b).
