Equity Per Share definition

Equity Per Share means the Company's shareholders equity per common share outstanding as of January 1, 1999.
Equity Per Share means the Company's Equity divided by the number of shares of common stock outstanding. Notwithstanding the foregoing, at such time that the Company's common stock becomes actively traded on a recognized securities exchange, including, but not limited to, as the result of a Change of Control in which the shares of the Company's stock are converted into the shares of stock of a successor or survivor company, then from that date forward the Market Value Per Share will become the measure of Equity Per Share for purposes of this Agreement.
Equity Per Share shall be determined at any time by dividing (i) the aggregate dollar amount of equity capital contributions then made by (ii) the number of shares outstanding. The initial Equity Per Share shall be $500, determined by dividing the $500,000 initially contributed to capital by the 1,000 shares of Common Stock initially issued.

  • Notwithstanding anything to the contrary in this Agreement, either party shall have the option to terminate this Agreement prior to Closing in the event that stockholders' equity per share as determined and adjusted pursuant to this Section (the "Adjusted Stockholders Equity Per Share") is greater than $1.75 or less than $1.45.

  • The Proration Fraction shall equal the quotient obtained by dividing (A) the excess of the Value of Common Equity Per Share as of the Determination Date over the Minimum Annual Price Target for such Determination Date by (B) the excess of the Maximum Annual Price Target as of the Determination Date over the Minimum Annual Price Target for such Determination Date.

  • On each Anniversary Date the Director's total number of phantom shares, other than phantom shares awarded in the Plan Year, shall be valued at the Equity Per Share on the Anniversary Date.

  • If Bartech exercises any part of this Option after the 12-month anniversary of the date hereof, the purchase price per Option Share shall be 115% of the Equity Per Share.

  • The --------------- purchase price of each share of Stock subject to Option hereunder shall be the Equity Per Share.

  • The phantom shares will be valued at the Company's Equity Per Share determined by dividing the Company's Equity by the number of shares of common stock outstanding.
