Equivalent Terms definition
Equivalent Terms has the meaning specified in Section 1102.
Equivalent Terms means a proposal on terms, including all legal, financial, regulatory and other aspects of such proposal, including termination fee and/or expense reimbursement provisions, conditionality, financing, antitrust, timing, indemnification and post-closing limitations of liability and such other factors, events or circumstances as the Board of Directors considers in good faith to be appropriate, that is (i) reasonably likely to be consummated in accordance with its terms and (ii) at least as favorable to the Transferor(s) pursuant to Section 9.01(a)(vi) as the terms set forth in the ROFR Sale Notice.

Examples of Equivalent Terms in a sentence
If less than all of the Securities of any series are to be redeemed or if less than all of the Securities of any series with Equivalent Terms are to be redeemed, the Issuer shall, at least five days prior to giving notice of redemption to the Holders (unless a shorter notice shall be satisfactory to the Trustee and agreed upon in writing by the Trustee), notify the Trustee of such Redemption Date, the principal amount of Securities of such series to be redeemed and, if applicable, the Equivalent Terms.

Equivalent Terms has the meaning set forth in Section 6.8(a). “ERISA” means the Employee Retirement Income Security Act of 1974, as amended. “Escrow Account” has the meaning set forth in Section 2.1(d)(ii). “Escrow Agent” means GS Bank USA or such other escrow agent as is mutually agreed between Buyer and Seller. “Escrow Agreement” means the escrow agreement among Buyer, Seller and the Escrow Agent in a form reasonably acceptable to Buyer and Seller. “Escrow Amount” means $11,400,000. “Escrow Funds” means the Escrow Amount together with any interest or other amounts earned thereon and less any disbursements (including negative interest) therefrom in accordance with this Agreement and the Escrow Agreement. “Estimated Purchase Price” has the meaning set forth in Section 2.2(a). “Euclid Facility” means all land, buildings, structures, improvements, fixtures and other interests in real property, including easements or other rights appurtenant thereto, owned in fee by the Company and commonly known as ▇▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇. “Example Statement of Net Debt” means the example statement of Net Debt as included in the line items marked as “Funded Indebtedness” and/or “Cash” in Schedule 3 attached to Exhibit A hereto. “Example Statement of Net Working Capital” means the example statement of Net Working Capital as included in the line items marked as “Net Working Capital” in Schedule 3 attached to Exhibit A hereto.
Equivalent Terms means (a) the terms of the offer notice, taken as a whole, are equal to or better for P▇▇▇▇▇▇▇▇▇ than the then-existing terms of the Employment Agreement, and (b) each of the proposed new salary, bonus and term of the agreement in the offer notice are equal to or better for P▇▇▇▇▇▇▇▇▇ than the then-existing terms for the exact same items in the then-existing Employment Agreement.
Equivalent Terms means, in respect of the Bond Transaction Security Documents and any other Security Document or Guarantee entered or to be entered into prior to the Notes Discharge Date in favour of a Second Lien Security Agent in accordance with this Agreement, such Security shall be on terms which are in all material respects identical to the terms of the equivalent Notes Transaction Security Document or Guarantee granted to the First Lien Security Agent under and in accordance with the Notes Documents.
