Escrow Disbursement definition

Escrow Disbursement has the meaning set forth in Section 8.4(b).
Escrow Disbursement has the meaning assigned to the term “Disbursement” in the Escrow, Security and Disbursement Agreement.
Escrow Disbursement means the release of the First American Payment from the escrow via wire transfer to an account designated by the Debtors as set forth in the First American Settlement Agreement.

Examples of Escrow Disbursement in a sentence

  • If for any reason the Loan and the Escrow Funds shall not have been fully disbursed on or before the Escrow Disbursement Termination Date or such subsequent date as the Director shall have specified in writing pursuant to the preceding sentence, the Director shall not have any obligation to approve or permit any further disbursement of proceeds of the Loan to the Escrow Account nor disbursement of Escrow Funds from the Escrow Account to the Company.

  • At the written request of the Company setting forth the reasons therefor and received at least twenty (20) days prior to the Escrow Disbursement Termination Date, the Director may, but shall be under no obligation to, postpone the Escrow Disbursement Termination Date to a later date.

  • Escrow Agent will disburse the remainder of the GCI Escrow Cash not required to be retained pursuant to the preceding sentence to GCI on the Escrow Disbursement Date.

  • If you have a non-interest bearing checking account (including, but not limited to, Escrow Disbursement, HSBC Commercial Checking Account, Corporate Analyzed Account, Fusion First Account, Fusion Smart Account, HSBC Fusion Analyzed and Business Checking Account) funds from your check deposits will be made available to you according to the following schedule, which is based on where the check is drawn, where the deposit is made, and the type of account as set forth below.

  • No Letter of Credit will be used (directly or indirectly) to replace, refinance or support any letter of credit outstanding under an Existing Agreement, and no part of the proceeds of any Loan or Escrow Disbursement will be used (directly or indirectly) to finance or refinance a draw on any such letter of credit.

  • If, prior to the Escrow Disbursement Date, Escrow Agent receives a certificate signed on behalf of Seller (a "Seller's Claim Certificate") in the form of Exhibit B with completed information concerning the nature and amount of an indemnification claim by Seller under the Purchase Agreement ("Seller's Claim Amount"), Escrow Agent shall retain in the Escrow Fund that amount of GCI Escrow Cash as is equal to the certified Seller Claim Amount for disbursement ("Retained GCI Cash").

  • If, prior to the Escrow Disbursement Date, Escrow Agent receives a certificate signed on behalf of GCI (a "GCI Claim Certificate") in the form of Exhibit A with completed information concerning the nature and amount of an indemnification claim by GCI under the Purchase Agreement ("GCI Claim Amount"), Escrow Agent will retain in the Escrow Fund that amount of cash equal to the certified GCI Claim Amount for disbursement in accordance with Section 3(a)(i) or (ii) as applicable ("Retained Seller's Cash").

  • Escrow Agent will disburse the remainder of the Seller's Escrow Cash not required to be retained pursuant to the preceding sentence to Seller on the Escrow Disbursement Date.

  • At the written request of the Company setting forth the reasons therefor and received at least 20 days prior to the Escrow Disbursement Termination Date, the Director may, but shall be under no obligation to, postpone the Escrow Disbursement Termination Date to a later date.

  • Within one (1) Business Day following the Escrow Agent’s receipt of an Escrow Disbursement Instruction, the Escrow Agent shall comply with the instructions and directives concerning the release or reservation of the Escrow Funds set forth therein.
