In no event shall the total Escrow Fees payable by the Company pursuant to this Agreement be less than $2,100, nor more than $4,200, for any 12-month period.

The Escrow Agent shall be entitled to payment for customary fees and expenses for all services rendered by it here under in accordance with Schedule B attached hereto (as such schedule may be amended from time to time by Polaris, Triton and the Escrow Agent) ("Escrow Fees").
