Escrow Software definition

Escrow Software means Software in respect of which the Customer (a) has elected to have escrow protection pursuant to and in accordance with clause 7.4 and (b) has concluded a licensee agreement with NCC as envisaged in clause 7.4 and (c) has paid to EMIS the sums due under such licensee agreement.
Escrow Software means the Software designated as escrow software in the Contract Variables;
Escrow Software means Software comprised in the Licensed Materials that will be placed in escrow in accordance with clause 54 (Source Code), being the Software referred to in the Escrow Software List;

Examples of Escrow Software in a sentence

  • For all Escrow Software, where EMIS is the owner, it shall, within thirty (30) days of the Go Live date applicable in respect of such Escrow Software, deposit with the NCC and under the terms and conditions of the escrow agreement referred to above, a copy of the source code in respect of such Escrow Software on appropriate media.

  • The Escrow Software also includes all updates, improvements, and enhancements thereof from time to time developed by Contractor and which are necessary to internally support the Services for the benefit of County.

  • If any Software is to be part of the Licensed Materials TfL may (at TfL’s absolute discretion) designate in writing to the Service Provider that the Software is to be Escrow Software.

  • Notwithstanding anything to the contrary herein, GE Digital shall have the right to deposit into escrow a version of the Escrow Software that does not require such Enabling Tools.


More Definitions of Escrow Software

Escrow Software shall have the meaning set forth in Section 11.18(a).
