  • Alamos, Subco, Esperanza and the Depositary shall be entitled to deduct and withhold from any amount otherwise payable to any holder of Esperanza Shares, Esperanza Warrants, Esperanza Options and Esperanza RSUs such amounts as Alamos, Subco, Esperanza or the Depositary is required or permitted to deduct and withhold with respect to such payment under the Tax Act, the United States Internal Revenue Code of 1986 or any provision of applicable federal, provincial, state, local or foreign tax law.

  • Certificates representing the Esperanza Shares issuable upon redemption of the RSUs in accordance with section 3.1(g) hereof shall not be issued.

  • When authorizing such payment and delivery in exchange for such lost, stolen or destroyed certificate which, immediately prior to the Effective Time, represented one or more outstanding Esperanza Shares, the person to whom such cash payment is to be delivered shall, as a condition precedent to the delivery of such cash, give a bond satisfactory to Alamos, Subco and the Depositary (acting reasonably) in such sum as Alamos.

  • To the extent that amounts are so withheld, such withheld amounts shall be treated for all purposes hereof as having been paid to the holder of Esperanza Shares, Esperanza Warrants, Esperanza Options and Esperanza RSUs in respect of which such deduction and withholding was made, provided that such withheld amounts are actually remitted to the appropriate taxing authority.

  • At and after the Effective Time, any certificate formerly representing Esperanza Shares shall represent only the right to receive the consideration provided for in section 3.1(d) or 5.1 in accordance with this Plan of Arrangement; provided that such certificates shall, on the sixth anniversary of the Effective Date, cease to represent a claim of any nature whatsoever and shall be deemed to have been surrendered to Subco and shall be cancelled.

  • The Depositary and/or the registrar and transfer agent for the Esperanza Shares will respond with the replacement requirements that must be satisfied in order for the undersigned to receive the Consideration in accordance with the Arrangement.

  • Alamos has entered into a Voting Agreement with each of the directors and senior officers of Esperanza pursuant to which the directors and officers have agreed to vote their Esperanza Shares in favour of the Arrangement.Unless otherwise directed, management will vote FOR the Arrangement Resolution.

  • No dividends or other distributions, if any, in respect of Alamos Warrants declared before the Effective Time and payable to holders of Alamos Warrants of record after the Effective Time, will be paid to the holders of any unsurrendered share certificates formerly representing Esperanza Shares until the share certificates representing such Esperanza Shares are surrendered and delivered as provided in the Arrangement and this Letter of Transmittal.

  • Based on theclosing price of the Esperanza Shares on the TSX-V on July 23, 2013.

  • Completion of the Arrangement is subject to a number of conditions including: (i) the approval of at least two-thirds of the votes cast by the holders of Esperanza Shares (the "Esperanza Shareholders") at a special meeting expected to take place in August 2013 (the "Meeting"); (ii) the approval of the Supreme Court of British Columbia; (iii) the approval of the Exchange, the TSX and the NYSE; and (iv) and certain other closing conditions customary in transactions of this nature.

  • Sale Shares has the meaning ascribed to it at Recital (A).

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Newco Shares means the common shares in the capital of Newco;

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Purchase Shares has the meaning set forth in Section 2.5(c).

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Time-share estate means a right to occupy a condominium unit or any of several condominium units during 5 or more separated time periods over a period of at least 5 years, including renewal options, coupled with a freehold estate or an estate for years.
