Estate Professionals definition

Estate Professionals means those Persons employed pursuant to an order of the Bankruptcy Court in accordance with sections 327, 328, and 1103 of the Bankruptcy Code or who are entitled to compensation or reimbursement pursuant to sections 503(b)(3)(D) or 506(b) of the Bankruptcy Code.
Estate Professionals has the meaning specified therefor in the Initial Financing Order or the Final Financing Order, as applicable.

Examples of Estate Professionals in a sentence

  • The Real Estate Professionals so selected shall each determine and promptly report (in no event later than the thirtieth (30th) day following the giving of the notice of appointment of the second Real Estate Professional) to both Landlord and Tenant in writing his or her determination of the Fair Market Rent.

  • The third Real Estate Professional shall have no discretion other than to select one of the determinations of Fair Market Rent made by the first two Real Estate Professionals as aforesaid.

  • If the higher of the Fair Market Rents reported by the two Real Estate Professionals is no more than ten (10%) percent more than the lower rate, then the Fair Market Rent will be an average of such amounts.

  • THE CLIENT will not engage in negative conversations regarding THE COACH with other Real Estate Professionals, nor will THE CLIENT solicit current CLIENTS to leave the COACH for any reason.

  • If such Real Estate Professionals shall concur in such determination within said twenty (20) day period, they shall give notice thereof to the Landlord and the Tenant and such concurrence shall be final and binding upon the Landlord and the Tenant.

  • Such two (2) Real Estate Professionals shall, within twenty (20) days after the designation of the second Real Estate Professional, make their determination of the Market Rent in writing and give notice thereof to each other and to the Landlord and the Tenant.

  • Nothing in this Interim Order or otherwise shall be construed to obligate the DIP Lender or the Prepetition Secured Parties, in any way, to pay compensation to, or to reimburse expenses of, any Estate Professionals or to guarantee that the Debtors have sufficient funds to pay such compensation or reimbursement.

  • Any notice provided for herein shall be given in writing, sent by (a) personal delivery, (b) United States mail, postage prepaid, or (c) by facsimile, to the Escrow Agent, with copies to the other parties, addresses as follows: Closing Agent: Real Estate Professionals c/o ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇ ▇.

  • If such Real Estate Professionals shall fail to concur as to such determination within said twenty (20) day period, then they shall give notice thereof to the Landlord and the Tenant and shall immediately designate a third Real Estate Professional.

  • Notwithstanding the foregoing, there shall be no variance on the fees and expenses of Estate Professionals (as defined in the Financing Order) set forth in the Budget.

  • Professionals means those Persons (a) employed pursuant to an order of the Bankruptcy Court in accordance with Sections 327 or 1103 of the Bankruptcy Code and to be compensated for services pursuant to Sections 327, 328, 329, 330 and 331 of the Bankruptcy Code, or (b) for which compensation and reimbursement has been allowed by the Bankruptcy Court pursuant to Section 503(b)(4) of the Bankruptcy Code.

  • Agent Professionals means attorneys, accountants, appraisers, auditors, business valuation experts, liquidation agents, collection agencies, auctioneers, environmental engineers or consultants, turnaround consultants, and other professionals and experts retained by Agent.

  • Health professional means that term as defined in section 5883 of the public health code, 1978 PA 368, MCL 333.5883.

  • Retained Professional means an Entity: (a) employed in the Chapter 11 Cases pursuant to a Final Order in accordance with sections 327 and 1103 of the Bankruptcy Code and to be compensated for services rendered prior to the Effective Date, pursuant to sections 327, 328, 329, 330, or 331 of the Bankruptcy Code; or

  • Licensed professional means a professional registered in the Commonwealth of Virginia pursuant to Article 1 (§ 54.1-400 et seq.) of Chapter 4 of Title 54.1 of the Code of Virginia. For purposes of these Standards and Specifications a licensed professional is one that is certified by DPOR as an Architect, Professional Engineer, Land Surveyor, or Landscape Architects.
