Estimated Aggregate Consideration Value definition

Estimated Aggregate Consideration Value means a good faith estimate of the Aggregate Consideration Value prepared by the Company. In connection with determining the Estimated Aggregate Consideration Value, the Company (a) shall use the actual Enterprise Value, the actual Minority Cash Amount and the actual St. ▇▇▇▇▇▇▇▇▇ ▇▇▇▇ Amount and (b) shall estimate the amount of (i) the Net Working Capital Adjustment, (ii) Closing Date Funded Indebtedness, and (iii) Company Transaction Expenses.
Estimated Aggregate Consideration Value means (i) the greater of (A) the Threshold Amount and (B) the dollar ($) amount obtained by multiplying (I) the Estimated 2013 Revenue Amount by (II) eight (8) less (ii) the Buyer Loan Amount.
