Estimated Asset-Liability Ratio definition

Estimated Asset-Liability Ratio means the Seller’s estimated good faith determination of the Asset-Liability Ratio as of the Closing Date, which determination and calculation shall be certified by the Seller in writing to the Buyer two (2) business days prior to the Closing Date.

  • Gross Asset Value means, with respect to any asset, the asset’s adjusted basis for federal income tax purposes, except as follows:

  • Current Assets of any Person means all assets of such Person that would, in accordance with GAAP, be classified as current assets of a company conducting a business the same as or similar to that of such Person, after deducting adequate reserves in each case in which a reserve is proper in accordance with GAAP.

  • Consolidated Tangible Net Worth means, as of any date of determination, for the Borrower and its Subsidiaries on a consolidated basis, Shareholders’ Equity of the Borrower and its Subsidiaries on that date minus the Intangible Assets of the Borrower and its Subsidiaries on that date.
