Estimated Closing Date Consideration definition

Estimated Closing Date Consideration has the meaning set forth in ‎Section 1.2(b).
Estimated Closing Date Consideration shall be equal to (i) the Enterprise Value, minus (ii) the Estimated Closing Date Net Indebtedness, minus (iii) the amount, if any, by which the Estimated Closing Date Net Working Capital is less than the Target Net Working Capital, plus (iv) the amount, if any, by which the Estimated Closing Date Net Working Capital is greater than the Target Net Working Capital, each as calculated by the Seller pursuant to the Preliminary Closing Statement.
Estimated Closing Date Consideration means (i) with respect to CareMax, the Estimated CareMax Closing Date Cash Consideration and the Estimated CareMax Closing Date Equity Consideration and (ii), with respect to IMC, the Estimated IMC Closing Date Cash Consideration and the Estimated IMC Closing Date Equity Consideration.
