Estimated Effective Date Balance Sheet definition

Estimated Effective Date Balance Sheet has the meaning set forth in Section 2.3(a).
Estimated Effective Date Balance Sheet means the special purpose balance sheet at the Effective Date prepared by the Stockholders prior to the Closing in accordance with Section 2.03(c) of this Agreement.
Estimated Effective Date Balance Sheet has the meaning specified in Section 5.07(a).

  • The Purchase Price assumes a shareholder’s equity for ERC of $113,000 (the “Minimum Equity Amount”) on the Effective Date as calculated and set forth on the Estimated Effective Date Balance Sheet.

  • If the amount that the Assets exceeds the Liabilities as shown on the Seller Balance Sheet decreases on the Estimated Effective Date Balance Sheet, the Purchase Price shall be reduced by that amount.
