Estimated Equity Consideration definition

Estimated Equity Consideration means a number of Surviving Company Membership Units equal to (i) the quotient obtained by dividing (A) an amount equal to (x) the Estimated Merger Consideration minus (y) the Cash Consideration by (B) the Per Share Price, minus (ii) the Adjustment Escrow Units.
Estimated Equity Consideration means the Equity Consideration determined on the basis of the Estimated Combined Equity Value Percentage.
