  • ETX Capital may in providing services to the Company hereunder employ such sub-agents (including any ETX Capital Associate as defined in Clause 10 of this Engagement Letter) as it may reasonably determine and on such terms and on such conditions as it may reasonably determine and the fees and expenses of any such sub-agent will be paid, reimbursed and indemnified by the Company pursuant to the Engagement Letter.

  • If the Company is considered an “eligible claimant” for the purposes of the FCA Rules, the Company has the right to apply to the Financial Services Compensation Scheme in the event of ETX Capital being in default.

  • ETX Capital may use voice recording procedures when receiving instructions on orders or when giving advice.

  • The Company and ETX Capital agree that the internet can be used as a means of communication in connection with the Engagement and the parties agree that each shall have no liability to the others for a Transmission Error arising out of or in connection with the use of the internet by any person (including the parties or their Associates) for the purposes of the Engagement.

  • All complaints should be addressed in the first instance to our Compliance Officer at: ▇▇▇▇▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇.▇▇▇ ETX Capital shall endeavour to resolve any complaint as quickly as possible, but in any event will acknowledge receipt of the Company’s letter within five business days.

  • The Company also accepts that, in acting for it, ETX Capital will not be required to disclose to it, nor to make use for its benefit, any information known to ETX Capital which (i) belongs to or is confidential to another client of ETX Capital or (ii) belongs to or is confidential to any other member of the ETX Capital Group or (iii) which belongs to or is confidential to the ETX Capital Group and relates to some other part of its business than the provision of corporate finance services.

  • ETX Capital operates as a separate entity within this group, and as such has rules and procedures which prohibit the disclosure of confidential information about its clients to other members of the ETX Capital Group for use in their businesses.

  • Where specialist advice is obtained by the Company in areas which are outside ETX Capital’s expertise, ETX Capital will be entitled to rely on such advice without having any responsibility to verify its accuracy.

  • ETX Capital maintains a written conflict management policy, which is available from ETX Capital’s compliance officer upon written request.

  • Unless advised to the contrary, ETX Capital may nominate the Company for inclusion as a client of ETX Capital in reputable directories of financial advisory and stockbroking relationships and when requested so to do, the Company agrees to consent to its inclusion therein.
