Examples of Euro Global Notes in a sentence

  • The Euro Global Notes will be made available for inspection by the Representative not later than 1:00 P.M., New York City time, on the business day prior to the Closing Date.

  • The Euro Global Notes initially shall (i) be registered in the name of the Common Depositary or the nominee of such Common Depositary, in each case for credit to an account of an Agent Member, (ii) be delivered to the custodian for such Common Depositary and (iii) bear legends as set forth in Exhibit B with respect to Rule 144A Global Notes and Regulation S Global Notes.

  • The Issuers initially appoint Euroclear and Clearstream, their respective nominees and successors to act as Euro Note Depositary with respect to the Euro Global Notes.

  • Euro Global Notes also may be exchanged or replaced, in whole or in part, as provided in Sections 2.07 and 2.10 hereof.

  • Euro Global Notes also may be exchanged or replaced, in whole or in part, as provided in Section 2.07 and Section 2.10.

  • The Issuer initially appoints Euroclear and Clearstream to act as Euro Note Depositary with respect to the Euro Global Notes.

  • The rights of beneficial owners in a Global Note shall be exercised only through the Dollar Note Depositary in the case of Dollar Global Notes and the Euro Note Depositary in the case of Euro Global Notes, subject to the Applicable Procedures.

  • The Euro Global Notes will be registered in the name of a common depositary (the “Common Depository”) for Euroclear Bank, S.A./N.V., as operator of the Euroclear System and Clearstream Banking société anonyme and deposited by or on behalf of the Company with the Common Depository.

  • U.S. Global Note means a Global Note that bears the Restricted Legend representing Notes issued and sold pursuant to Rule 144A.

  • Regulation S Global Notes means, collectively, the Temporary Regulation S Global Notes and the Permanent Regulation S Global Notes.
