In 2022, the Company acquired 1,000,000 shares of common stock of Eve Holding, Inc.
The Company, Eve Holding or any member of the Company Group shall reimburse Executive for any expenses reasonably and necessarily incurred by Executive during the Term in furtherance of Executive’s duties hereunder, including travel, meals and accommodations, upon submission by Executive of vouchers or receipts and in compliance with such rules and policies relating thereto as the Company may from time to time adopt.

Eve Holding can be held liable for the actions of associated persons, agents, suppliers, consultants, contractors, and other business partners with whom it conducts business – primarily Third-Party Intermediaries – particularly where a Third-Party Intermediary is performing services or otherwise conducting dealings, discussions, or negotiations for or on behalf of Eve Holding with public or private organizations (and/or their officials, officers, or other employees).
In addition, without limiting the generality of the foregoing, Section 16(b) of the Exchange Act imposes liability on company “insiders” for realizing short-swing profits relating to the Company’s securities.
