Events Outside Our Control means any event preventing us from performing or otherwise delaying or hindering our performance of any or all of our obligations under the Agreement and which arises from or is attributable to any acts, events, omissions or accidents beyond our reasonable control including (but not limited to):
Events Outside Our Control means events such as fire, flood, lightning, storm, strikes, industrial disputes, acts of war, riots, explosion, unavailability of product from suppliers, major traffic accidents or other events not reasonably within our control.
Events Outside Our Control means acts of God, fire, flood, lightning, storms, natural disasters, explosions, national emergencies, health crises, governmental actions, acts of war, terrorist threats or acts, riots or civil unrest, revolution or insurrections, labor disputes, major traffic incidents, restraints or delays affecting carriers, unavailability of product from suppliers, telecommunication breakdowns, power outages or other events not reasonably within Our control;

  • We reserve the right to cancel a Course, or make changes to course arrangements, as a result of Events Outside Our Control.

  • We do not assume liability for damage that is due to any unusual and unforeseeable events over which Western Union has no control and whose consequences, in spite of exercising due care, Western Union could not have avoided (caused, for example by Events Outside Our Control, failure of telecommunication lines, civil unrest, war or other events such as industrial action or lockouts over which We have no control).

  • We will also have no liability under Item 7 if We fail to perform or incorrectly perform the Transaction where the reason for this was due to Events Outside Our Control or Our statutory obligations.7.11.

  • We shall not be liable for any costs incurred for travel or accommodation made by you or your guests (this includes costs relating to cancellations arising from Events Outside Our Control).

  • You shall have no right to damages or compensation or to cancel your Order if We fail to meet any estimated delivery or installation dates (for any reason, including Events Outside Our Control, as defined in clause 12).

  • If a change or delay is caused by something that is not within Our reasonable control (see Events Outside Our Control), We will notify You as soon as reasonably possible and the change or delay and the reasons for it.

  • Where, as a result of Events Outside Our Control, it is necessary to close or discontinue or cease to deliver a programme, the School will follow its Student Protection Plan and its Refund and Compensation Policy.

  • All other Events Outside Our Control will be considered on a case by case basis.

  • Events Outside Our Control means any act or event beyond the Company’s reasonable control, including without limitation strikes, lock-outs or other industrial actions by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war, fire, explosion, storm or severe weather conditions, tides, flood, earthquake, subsidence, epidemic or other natural disaster, interruption of electric supply, or failure of public or private telecommunications network.

  • No refunds are payable in these circumstances.4.4 We reserve the right to cancel a Course, or make changes to course arrangements, as a result of Events Outside Our Control.

  • Local Access Transport Area or "LATA" is as defined in the Act.

  • Servicer Termination Events (or any analogous term under the Lead Securitization Servicing Agreement) include customary market termination events with respect to failure to make advances, failure to timely remit payments to the Non-Lead Note Holders as required hereunder or under the Lead Securitization Servicing Agreement (subject to no more than one business day grace period), failure to timely deposit amounts into any REO Account or to remit to a Servicer for deposit into a related collection or custodial account, failure to deliver (or cause to be delivered) materials or information required in order for each Non-Lead Note Holder or each Non-Lead Depositor to timely comply with its obligations under the Exchange Act, the Securities Act and Form SF-3, and for rating agency downgrades or other triggers with respect to any certificates issued in connection with a Non-Lead Securitization, subject to customary grace periods (provided that, in the case of failures related to the securities laws, such grace periods will not cause a Non-Lead Depositor to fail to comply with the applicable provisions of such securities laws). Upon the occurrence of such a Servicer Termination Event with respect to the Master Servicer affecting a Non-Lead Securitization Note Holder and the Master Servicer is not otherwise terminated pursuant to the Lead Securitization Servicing Agreement, the Master Servicer shall be required, upon the direction of such Non-Lead Securitization Note Holder, to appoint a subservicer with respect to such Non-Lead Securitization Note. Upon the occurrence of a Servicer Termination Event with respect to the Special Servicer affecting a Non-Lead Securitization Note Holder and the Special Servicer is not otherwise terminated pursuant to the Lead Securitization Servicing Agreement, the Trustee shall, upon direction of such Non-Lead Securitization Note Holder, terminate the Special Servicer with respect to, but only with respect to, the Mortgage Loan;

  • Termination, Moving You may cancel your acceptance of the Agreement with XOOM at any time prior to midnight of the thirtieth (30th) calendar day after the date of the first bill from your utility that includes XOOM charges for gas supply service without penalty or cancellation fee by calling XOOM at 0-000-000-0000 or by sending an email to xxxxxxxxxxxx@xxxxxxxxxx.xxx. When moving to an address within your local utility’s service territory, XOOM will make every effort to transfer your service to your new service address, provided that you notify XOOM within fifteen (15) days of your move. If a transfer of service is not successful or you move to a location outside your local utility’s service territory, you may cancel this Agreement at no cost to you. Failure to notify XOOM of your move will be considered a cancellation of this Agreement in accordance with its terms.

  • Commercial sexual activity means sexual activity for which anything of value is given

  • Traffic control signal means a device, whether manually, electrically, or mechanically operated, by which traffic is alternately directed to stop and permitted to proceed.
