  • Notwithstanding the generality of the foregoing, Customer’s obligations under this Section 16 will continue in effect with respect to Exasol Materials for so long as those are maintained in confidence by Exasol.

  • Notwithstanding any use of words such as “purchase” or similar in any document issued by Exasol or Customer, the Exasol Materials are licensed, not sold, to Customer and Customer only has the licensed rights in accordance with the terms of the Agreement.

  • Confidential Information of Exasol includes without limitation the Exasol Materials (including any license keys) and any benchmarking or results of a Proof of Concept under an Evaluation License, and all Derived Information.

  • Customer will comply fully with all relevant export laws and regulations of the European Union, the United Kingdom, the United States and any other country (“Export Laws”) where Customer uses any of the Exasol Materials.

  • Customer will not, and will not knowingly permit, export, re-export, or release the Exasol Materials to, or make the Exasol Materials or any Appliance accessible from, any country, jurisdiction or person to which export, re-export, or release is prohibited by applicable law, including without limitation the U.S. Export Administration Regulations and International Traffic in Arms Regulations.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • Biological Materials means certain tangible biological materials that are necessary for the effective exercise of the Patent Rights, which materials are described on Exhibit A, as well as tangible materials that are routinely produced through use of the original materials, including, for example, any progeny derived from a cell line, monoclonal antibodies produced by hybridoma cells, DNA or RNA replicated from isolated DNA or RNA, recombinant proteins produced through use of isolated DNA or RNA, and substances routinely purified from a source material included in the original materials (such as recombinant proteins isolated from a cell extract or supernatant by non-proprietary affinity purification methods). These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.

  • GOODS / MATERIALS means any of the articles, materials, machinery, equipments, supplies, drawing, data and other property and all services including but not limited to design, delivery, installation, inspection, testing and commissioning specified or required to complete the order.

  • Regulatory Materials means regulatory applications, submissions, notifications, registrations, or other filings made to or with a Regulatory Authority that are necessary or reasonably desirable in order to develop, manufacture, market, sell or otherwise commercialize a product in a particular country or regulatory jurisdiction. Regulatory Materials include INDs, XXXx and NDAs (as applications, but not the approvals with respect thereto).

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.
