Notwithstanding the generality of the foregoing, Customer’s obligations under this Section 16 will continue in effect with respect to Exasol Materials for so long as those are maintained in confidence by Exasol.
Except for the licenses expressly granted to Customer in Section 2, Customer does not acquire and shall not claim any right, title or interest in or to any Exasol Materials or related Intellectual Property Rights, whether by implication, operation of law or otherwise.
Customer acknowledges that Exasol, its suppliers and/or licensors own all worldwide right, title and interest in and to the Exasol Materials, including all related Intellectual Property Rights.
Customer has no right, title or interest in or to any Exasol Materials or related intellectual property rights.
Notwithstanding any use of words such as “purchase” or similar in any document issued by Exasol or Customer, the Exasol Materials are licensed, not sold, to Customer and Customer only has the licensed rights in accordance with the terms of the Agreement.
Upon any expiration of the Term or termination of the Agreement, the rights and licenses granted to Customer will automatically terminate, and Customer shall (a) immediately cease using the Software, and (b) return or destroy all copies of the Exasol Materials and other Exasol Confidential Information in Customer’s possession or control and certify in writing the completion of such return or destruction.
Confidential Information of Exasol includes without limitation the Exasol Materials (including any license keys) and any benchmarking or results of a Proof of Concept under an Evaluation License, and all Derived Information.
Confidential Information of Exasol will include the Exasol Materials (including any license keys).
Customer further certifies that Customer will not export, re-export, ship, transfer or otherwise use the Exasol Materials in any country subject to an embargo or other sanction by the European Union or United States, that Customer will not use the Exasol Materials for any purpose prohibited by the Export Laws, including, but not limited to, nuclear, chemical, missile or biological weapons related end uses.
Customer will comply fully with all relevant export laws and regulations of the European Union, the United Kingdom, the United States and any other country (“Export Laws”) where Customer uses any of the Exasol Materials.
