Excess Stockholder definition
Excess Stockholder means any person (other than an Exempt Person) that beneficially owns Excess Shares, determined, unless otherwise provided herein, without giving effect to the limitation on voting power set forth in section (B)(2)(b)(ii) of this Article IV.

The Restricted Stock Units covered by this award will vest on the fourth anniversary of the Grant Date (such date being the “Vesting Date”) if there is positive Excess Stockholder Return.
