Excess Throughput Fee definition

Excess Throughput Fee means [***] per gallon of Product out-loaded from the Terminal per year in excess of the Minimum Annual Total Throughput until the total annual volume reaches [***] gallons and [***] per gallon of Product thereafter during such year.
Excess Throughput Fee has the meaning specified in Section 3.2.
Excess Throughput Fee means the sum of the Excess Barge Throughput Fee, Excess Pipeline Throughput Fee, Excess Rail Throughput Fee, and Excess Truck Throughput Fee.

Examples of Excess Throughput Fee in a sentence

  • Within thirty (30) days after notice from Seller of such quantities of quarterly excess throughput for such quarter, Buyer shall pay Seller an amount equal to the Quarterly Excess Throughput Fee.

  • Buyer agrees to pay to Seller (i) the Storage Purchase Fee, (ii) the Throughput Fee, (iii) the Excess Throughput Fee, if any, and (iv) any additional fees provided for in Section 3.4, all as determined and paid as provided in this Article 3.

  • The Throughput Fee and Excess Throughput Fee are subject to any applicable escalation set forth in Section 3.3 below.

  • In addition, TRMC shall pay any applicable Excess Throughput Fee as set forth and calculated in the applicable Pipeline Service Order.

  • Within thirty (30) days after the end of each Contract Year, Seller shall determine, and notify Buyer with respect to, the Excess Barge Throughput, Excess Pipeline Throughput, Excess Rail Throughput, and Excess Truck Throughput for such Contract Year and the corresponding Excess Throughput Fee for such Contract Year.

  • To the extent that the Excess Throughput Fee for any Contract Year does not equal the sum of the Quarterly Excess Throughput Fee for each such quarter of such Contract Year (such difference in fees, the "Fee Difference"'), the Party possessing the Fee Difference promptly shall pay such Fee Difference to the other Party.

  • In addition to any applicable Excess Throughput Fee provided for in Article 3, Buyer shall pay Seller each Month, or portion thereof, during any extension of the Term a fee of $4.00 per Barrel in lieu of any Storage Purchase Fee and Throughput Fee (the "Extended Term Storage Purchase Fee").

  • For purposes hereof, the "Excess Throughput Fee" shall be $*** per ton, and the "Excess Throughput Quantity" shall be equal to the positive difference between the quantity of asphalt product which is handled, produced, sold or delivered from the Cumulative Facilities in a Contract Year and *** tons (the "Threshold Quantity").

  • To the extent that the Excess Throughput Fee for any Contract Year does not equal the sum of the Quarterly Excess Throughput Fee for each such quarter of such Contract Year (such difference in fees, the "Fee Difference'"), the Party possessing the Fee Difference promptly shall pay such Fee Difference to the other Party.

Related to Excess Throughput Fee

  • Monthly Debt Service Payment Amount means, for each Monthly Payment Date, an amount equal to the amount of interest which is then due on all the Components of the Loan in the aggregate for the Interest Period during which such Monthly Payment Date occurs.

  • Monthly Service Fee means a monthly charge to a member for continuing care and not as rent, or a daily prorated portion thereof.

  • Replenishment Amount has the meaning assigned to such term in Section 2.06(b).

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Minimum Charge means the higher of the rate minimum and the rate applied to the Contracted Minimum Demand;

  • Base Capacity Demand Resource Price Decrement means, for the 2018/2019 and 2019/2020 Delivery Years, a difference between the clearing price for Base Capacity Demand Resources and Base Capacity Energy Efficiency Resources and the clearing price for Base Capacity Resources and Capacity Performance Resources, representing the cost to procure additional Base Capacity Resources or Capacity Performance Resources out of merit order when the Base Capacity Demand Resource Constraint is binding.

  • Excess Cash Flow Payment Period with respect to the prepayment required on each Excess Cash Flow Application Date, the immediately preceding fiscal year of the Borrower.

  • Maximum Concentration Level Assessment means the Maximum Concentration Level Assessment for the purposes of a Basic Comprehensive Certificate of Approval, described in the Basic Comprehensive User Guide, prepared by a Toxicologist using currently available toxicological information, that demonstrates that the concentration at any Point of Impingement for a Compound of Concern that does not have a Ministry Point of Impingement Limit is not likely to cause an adverse effect as defined by the EPA. The concentration at Point of Impingement for a Compound of Concern must be calculated in accordance with O. Reg. 419/05.

  • Excess Cash Flow Payment Date means the date occurring 90 days after the last day of a fiscal year of the Parent (commencing with its fiscal year ending December 31, 2000).

  • Monthly Volume means the product of the Committed Volume multiplied by the number of days in the relevant month.

  • Collateral Minimum Monthly Interest shall have the meaning specified in subsection 4.02(c).

  • Minimum Disbursement Amount means Twenty-Five Thousand and No/100 Dollars ($25,000).

  • Net Monthly Excess Cashflow With respect to each Distribution Date, the sum of (a) any Overcollateralization Release Amount for such Distribution Date and (b) the excess of (x) Available Funds for such Distribution Date over (y) the sum for such Distribution Date of (A) the Monthly Interest Distributable Amounts for the Class A Certificates and the Mezzanine Certificates, (B) the Unpaid Interest Shortfall Amounts for the Class A Certificates and (C) the Principal Remittance Amount.

  • Broken Amount means, in respect of any Interest Payment Date, the amount specified in the relevant Final Terms.

  • Maximum Contract Value means the amount specified in the "Limitation of Expenditure" clause set out in the Contract; and

  • Monthly Uptime Percentage means total number of minutes in a calendar month minus the number of minutes of Downtime suffered in a calendar month, divided by the total number of minutes in a calendar month.

  • Monthly Service Fees means the monthly (or 1/12 of the annual fee) subscription fees paid for the affected Cloud Service which did not meet the SA SLA.

  • Required Daily Deposit Target Finance Charge Amount means, for any day in a Due Period, an amount equal to the Class A Tranche Interest Allocation for the related Distribution Date; provided, however, that for purposes of determining the Required Daily Deposit Target Finance Charge Amount on any day on which the Class A Tranche Interest Allocation cannot be determined because the LIBOR Determination Date for the applicable Interest Accrual Period has not yet occurred, the Required Daily Deposit Target Finance Charge Amount shall be the Class A Tranche Interest Allocation determined based on a pro forma calculation made on the assumption that LIBOR will be LIBOR for the applicable period determined on the first day of such calendar month, multiplied by 1.25.

  • Maximum Applied Water Allowance (MAWA) means the upper limit of annual applied water for the established landscaped area as specified in Section 492.4. It is based upon the area's reference evapotranspiration, the ET Adjustment Factor, and the size of the landscape area. The Estimated Total Water Use shall not exceed the Maximum Applied Water Allowance. Special Landscape Areas, including recreation areas, areas permanently and solely dedicated to edible plants such as orchards and vegetable gardens, and areas irrigated with recycled water are subject to the MAWA with an ETAF not to exceed 1.0. MAWA = (ETo) (0.62) [(ETAF x LA) + ((1-ETAF) x SLA)]

  • Minimum Purchase Amount means an amount that would be sufficient to (i) reduce the Outstanding Amount of each class of Notes on such Distribution Date to zero and (ii) pay to the respective Noteholders the Class A Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Interest Distribution Amount payable on such Distribution Date.

  • Minimum Contract Value means 10% of the Maximum Contract Value.

  • Advance Reimbursement Amount has the meaning stated in Section 4.4(b) of the Servicing Supplement.

  • Excess Rent means the excess of (a) all consideration received by Tenant from a Transfer over (b) Rent payable under this Lease after deducting reasonable tenant improvements paid for by Tenant, reasonable attorneys’ fees and any other reasonable out-of-pocket costs paid by Tenant as a result of the Transfer (but specifically excluding any Rent paid to Landlord while the Premises is vacant).
