Exchange Certificate definition

Exchange Certificate. The certificate necessary to exchange an interest in a Regulation S Global Certificate for an interest in a Domestic Global Certificate, which is in the form of Exhibit Q attached hereto, or the certificate necessary to exchange an interest in a Domestic Global Certificate for an interest in a Regulation S Global Certificate, which is in the form of Exhibit O or Exhibit P, as applicable, hereto, in each case as described in Section 5.02(m).
Exchange Certificate. Any Certificate of a Class to be issued pursuant to this Agreement in the Exchange Offer in exchange for an Initial Certificate of such Class at the request of the holder of such Initial Certificate.

Examples of Exchange Certificate in a sentence

  • The aggregate principal amount of any Global Exchange Certificate may from time to time be increased or decreased by adjustments made on the records of the Trustee, as custodian for DTC for such Global Exchange Certificate, which adjustments shall be conclusive as to the aggregate principal amount of any such Global Exchange Certificate.

  • The Trustee shall make the first distribution on an Exchange Certificate or an Exchangeable Certificate received in an exchange transaction on the Distribution Date in the following month to the Certificateholder of record as of the close of business on the last day of the month of the exchange.

More Definitions of Exchange Certificate

Exchange Certificate. Means any of the certificates, substantially in the form of Exhibit A, issued in exchange for an Initial Certificate pursuant to the Registration Agreement and authenticated under this Agreement.
Exchange Certificate. Has the meaning specified in Section 3.01 of this Trust Supplement.

Exchange Certificate with respect to any Pass Through Certificate, has the meaning specified in the Pass Through Trust Agreement for the Pass Through Trust under which such Pass Through Certificate was issued.
Exchange Certificate has the meaning specified in Section 1.4(f).
