Exclusive Licensees definition

Exclusive Licensees means those Persons licensed by the Company and/or by one or more of its Immediate Affiliates to distribute in specific geographic areas one or more of the Products.
Exclusive Licensees means MEDINOL and up to two (2) additional Third Parties who may be granted a license, under ARIAD’s interest in the Licensed Patent Rights and Licensed Technology to develop, have developed, make, have made, use, have used, sell, have sold, offer for sale, import, have imported, export, have exported, distribute, market and promote Licensed Products for use in the Licensed Field.
Exclusive Licensees means ICON and up to two (2) additional Third Parties at any given time who have been or hereafter are granted a license, under the Licensed Patent Rights and Licensed Technology to develop, have developed, make, have made, use, have used, sell, have sold, offer for sale, import, have imported, export, have exported, distribute, market and/or promote Licensed Products for use in the Licensed Field. The Parties hereby acknowledge that as of the Effective Date, Medinol Ltd. (“Medinol”) has been granted a license from ARIAD and shall be counted as one of the two (2) additional Exclusive Licensees permitted hereunder as long as the license from ARIAD to Medinol is in effect.

Examples of Exclusive Licensees in a sentence

  • For the purposes of this Section 4, the business of the Company and its Immediate Affiliates and the Exclusive Licensees shall include all Products and the Executive’s undertaking shall encompass all items, products and services that may be used in substitution for Products.

  • Exclusive Licensees will reimburse NIH for up to 50% of patent expenses and annuities for licensed territories incurred after the Effective Date of the Exclusive Commercialization License depending on the potential market and scope of license.

  • Thereafter, if Licensee elects to have the right, at its own expense to initiate, conduct or settle such action or conduct such defense, it shall inform ISF1 of the same by written notice provided, however, that Licensee shall not have such rights unless and until consented to by ISF1 and all other Exclusive Licensees, if any, in writing.

  • ISF1 or an ISF1 Affiliate will, at its expense, prepare, file, prosecute, and maintain the Licensed Patents in good faith taking into equal account the interests of Licensee and all other Exclusive Licensees, if any.

  • If at any time during the Term of the Agreement and thereafter, it is determined that BioSynthema or its Exclusive Licensee underreported sales to K▇▇▇▇▇▇▇, then any royalty payments related to such under reporting of sales shall be reported and paid to K▇▇▇▇▇▇▇ within sixty (60) days of BioSynthema or its Exclusive Licensee's first knowledge of such underpaymentwith Interest.

  • Patent costs incurred during the agreement will be paid upon invoicing by the total number of Exclusive Licensees at the time the expense is incurred.

  • Grantees, Collaborators and/or their Exclusive Licensees shall have the burden of establishing that the proposed access plan satisfies the requirements of this Section.

  • MSSM shall equally prorate patent costs so that no Licensee shall be charged more than their pro rata share of all patent costs based upon the number of Exclusive Licensees under the Patent Rights.
