The Executive and the Executive Representatives shall have no claim or right of any nature whatsoever against any of the Company's or its Affiliates' directors, officers, employees, direct or indirect stockholders, owners, trustees, beneficiaries or agents, irrespective of when any such person held such status (collectively, the "COMPANY REPRESENTATIVES") (other than Assigns) arising out of any Executive Claim.
The Executive or the Executive Representatives may revoke consent to the release by delivering a written notice of such revocation to the Company within seven days of signing the release.
The Executive's and the Executive Representatives' sole remedy shall be against the Company (or any assignee or successor to all or substantially all the assets of the Company or any transferee in receipt of material assets of the Company transferred in fraud of creditors (collectively, "ASSIGNS")) for any Executive Claim (defined below).
If the Executive or the Executive Representatives fails to execute this release, the Executive or the Executive Representatives agrees to forego any payment from the Company as if the Executive had terminated employment voluntarily.
Upon termination, the Executive or the Executive Representatives will receive 21 days to consider this release.
The Affiliates shall be third-party beneficiaries of this Agreement for purposes of enforcing the terms of this Section 3.4 (Executive's Sole Remedy) against the Executive and the Executive Representatives.
The Executive, on his own behalf and on behalf of the Executive Representatives, hereby releases and covenants not to sue ▇▇▇ person other than the Company or its Assigns over any Executive Claim.
If the Executive or Executive Representatives revokes consent to the release, the release will become null and void and the Executive or the Executive Representatives must return any compensation received under Section 2.02 of this Agreement, except salary the Executive earned for actual work.
Exchange Members may identify other candidates (“Petition Candidates”) for purposes of this Section 7.4 for the Member Representative Director positions by delivering to the Secretary, at least thirty-five (35) days before the Record Date, a written petition, which shall designate the candidate by name and office and shall be signed by Executive Representatives of ten percent (10%) or more of the Exchange Members.
Specifically, the Executive and Executive Representatives agree that a necessary condition for the payment of any of the amounts described in Section 2.00 in the event of termination is the Executive’s or the Executive Representatives’ execution of this release upon termination of employment.
