Executive Stock means all shares of Common Stock purchased pursuant hereto and all shares of Common Stock otherwise owned or acquired by Executive, including the Management Option Shares and the Rollover Stock but excluding the Option Shares (as defined in the Option Agreement).

• Any Transfer or attempted Transfer of any Executive Stock in violation of any provision of this Agreement shall be void, and the Company shall not record such Transfer on its books or treat any purported transferee of such Executive Stock as the owner of such stock for any purpose.

• The number of shares to be repurchased by the Company shall first be satisfied to the extent possible from the shares of Executive Stock held by Executive at the time of delivery of the Repurchase Notice.

• If any such restrictions prohibit the repurchase of Executive Stock hereunder which the Company is otherwise entitled or required to make, the Company may make such repurchases as soon as it is permitted to do so under such restrictions.

Executive Stock means (i) all shares of Issued Stock and (ii) all shares of Common Stock issued with respect to the shares referred to in clause (i) above by way of stock dividend or stock split in connection with any conversion, merger, consolidation or recapitalization or other reorganization affecting the Common Stock.
