EXERCISE PRICE ADJUSTMENT definition

EXERCISE PRICE ADJUSTMENT means an amount equal to the profit or loss of the business of Seller (after payment or accrual of all Taxes and appropriate reserves) for the period from April 30, 1996 through October 31, 1996, calculated in a manner consistent with generally accepted accounting principles, as approved by Buyer in its reasonable discretion. If the Exercise Price Adjustment is a positive amount, the amount of the Exercise Price shall be increased by such amount. If the Exercise Price Adjustment is a negative amount, the amount of the Exercise Price shall be decreased by such amount.
