Optionee may accelerate the exercise of the Option by completing all the Option Exercise Requirements on an accelerated timeline.
Such certificate shall be deemed to have been issued, and the Holder shall be deemed for all purposes to have become a holder of record of such Warrant Shares, as of the date of receipt by the Company of all the Exercise Requirements.

The foregoing requirements shall mean, with respect to any exchange of the Notes pursuant to this Article 8, the "Exercise Requirements" and shall apply to any such exchange.
The payment in U.S. Dollars and Warrant must be delivered to the offices of the Company and must comply in all respects with the Manner of Exercise Requirements set forth in Section 3.1.
