Existing Directors definition

Existing Directors means (x) individuals constituting the Company's board of directors on the Closing Date, and (y) any subsequent director whose election by the board of directors or nomination for election by the Company's shareholders was approved by a vote of at least a majority of the directors then in office, which directors either were directors on the Closing Date or whose election or nomination for election was previously so approved.

Existing Directors means (x) individuals constituting the Borrower's board of directors on the Closing Date, and (y) any subsequent director whose election by the board of directors or nomination for election by the Borrower's shareholders was approved by a vote of at least a majority of the directors then in office, which directors either were directors on the Closing Date or whose election or nomination for election was previously so approved.

Existing Directors shall have the definition assigned thereto in Section 4.04.

• Application of Criteria to Existing Directors The renomination of existing directors should not be viewed as automatic, but should be based on continuing qualification under the criteria set forth above.

More Definitions of Existing Directors

Existing Directors shall have the meaning set forth in Section 1(e)(iii) hereof.
